Execution of Assignment. This Assignment is executed by the Assignor and the Lessor concurrently with the execution and delivery of the Participation Agreement and the Lease.

Execution of Assignment. Upon the Effective Date, Breakaway shall execute the Assignment of Transferred Technology attached hereto as Schedule B.

During a shoot, the client is obliged to make circumstances as favorable and comfortable as possible for the photographer. The selection of the images that are to be delivered to the client is the exclusive responsibility of the photographer based on their criteria in terms of style and quality. The photographer does not provide insight into undelivered images or raw files. Should the client explicitly request certain elements in a photo or have photos or elements edited or deleted through the use of Adobe Photoshop then the photographer alone will be entitled to make any such changes. The hourly rate of 75,- incl. VAT will be charged for these extra activities. These costs are to be expressly communicated by the photographer before any post- processing takes place. The client is expected to take any necessary action to ensure timely and just execution of the assignment. The amount of delivered photographs may vary according to the duration of the assignment and other circumstances and cannot be agreed upon in advance. Unless in case of force majeure, in case of unforeseen circumstances on the photographer’s side, disabling the photographer from meeting their side of the agreement, the photographer, within reason, will attempt to find a suitable replacement photographer with a comparable style. When no substitute can be found for the wedding photography, the photographer will offer a free, 1,5 hour ‘after wedding shoot’. The photographer agrees to maintain their materials, yet is not responsible for loss of images through technical errors caused by force majeure.

Execution of Assignment. Neither Compass nor First Chicago shall have any obligation under this Agreement unless and until it has received from the other and reviewed and approved the following documents, appropriately executed and, where applicable, acknowledged by one or more authorized officers of First Chicago or Compass, as the case may be, both in form and substance satisfactory to the party receiving such documents and dated of even date herewith or a date prior thereto: (a) multiple counterparts of the Assignment; and (b) the Existing Note as endorsed by Compass to Compass and First Chicago in their respective Percentage Shares.

During a shoot, the client is obliged to make circumstances as favorable and comfortable as possible for the photographer. The photographer delivers photographs in their customary style, where there’s a global image optimisation applied to, amongst others, lighting, colouring and contrast and where there will be no postprocessing to delete or alter existing elements in the photograph. Which includes, but is not limited to, the removal or reduction of skin imperfections or disturbing elements in the surroundings. 5.5. Should the client explicitly request certain elements in a photo or have photos or elements edited or deleted through the use of Adobe Photoshop then the photographer alone will be entitled to make any such changes.

Execution of Assignment. The following documents will contemporaneously with the execution of this Agreement be executed by the parties specified below: (a) the Deed of Assignment (in duplicate) to be executed by the Tenant and the Assignee; (b) the Deed of Variation of the Lease (in triplicate) to be executed by the Landlord and the Assignee; (c) the Licence for Works (in duplicate) to be executed by the Landlord and the Assignee; and (d) the Licence to Assign and for Change of Use (in triplicate) to be executed by the Landlord, the Tenant and the Assignee; (e) the Rent Review Memorandum (in duplicate) to be executed by the Landlord and the Assignee; (Collectively referred to as, the “Transaction Documents”) to be held in escrow by the Assignee’s solicitors pending completion of the Transaction in accordance with the terms of this Agreement.

Execution of Assignment. Executive understands and agrees that Executive shall, both during and after the termination of Executive’s employment for any reason, upon the Company’s request, promptly execute and deliver to the Company all such assignments, certificates and instruments, and shall promptly perform such other acts, as may be reasonably necessary or desirable for the Company to evidence, establish, maintain, perfect, enforce or defend the Company’s rights in Confidential Information and Executive Developments.

Execution of Assignment. If the assignee is approved by Great Clips, the assignee will execute and deliver to Great Clips the men-current standard form of GREAT CLIPS® Franchise Agreement which may be materially different than this Agreement. The assignee and each of the assignee's shareholders or equity owners that will have a 10% or greater interest in the Franchise Agreement shall personally guaranty performance of the Franchise Agreement on Great Clips' form of Guaranty. Notwithstanding the execution by the assignee of the then-current form of Franchise Agreement, the assignee will assume the balance remaining of the term of this Agreement with the attendant renewal provisions. The assignee shall not be required to pay an Initial Franchise Fee for the then-current Franchise Agreement.
