Exchange Commission. The Trust shall furnish, or shall cause to be furnished, to the Company or its designee, each piece of sales literature or other promotional material in which the Company is named, at least ten Business Days prior to its use. No such material shall be used if the Company or its designee reasonably objects to such use within fifteen Business Days after receipt of such material.
Exchange Commission. All such financial information shall be prepared in accordance with generally accepted accounting principles. If Borrower fails to furnish the annual financial statements to Lender within 30 days of Lender’s written request, then Lender may, at its option, charge Borrower a non-performance fee equal to all the installment payments due under this Agreement for the then current month (unless otherwise prohibited by law) and such fees shall be payable by Borrower on demand.
Exchange Commission. The Custodian shall, at the Fund's request, supply the Fund with a tabulation of securities owned by the Fund and held by the Custodian and shall, when requested to do so by the Fund and for such compensation as shall be agreed upon between the Fund and the Custodian, include certificate numbers in such tabulations.

The Guaranteed Parties shall indemnify, defend and hold harmless Guarantor and Tenant from and against any and all expense, loss or damage which they incur as a result of any act or omission of the Guaranteed Parties or their respective representatives in connection with such inspection and examination, other than to the extent that any expense, loss or damage arises from any negligence or misconduct of Guarantor or Tenant.
Exchange Commission. The Company shall use its best efforts to meet the conditions set forth in (i), (ii) and (iii) above as soon as reasonably practical.
Exchange Commission. 2.1.2 Notwithstanding anything to the contrary herein, neither Seller nor any of its Affiliates will be required to perform or to cause to be performed any of the Services for the benefit of any Person other than Buyer and its Affiliates.

Where the effect of a requirement of the 1940 Act reflected in any provision of this Contract is relaxed by a rule, regulation, order or other action of the Securities and Exchange Commission, whether of special or general application, such provision shall be deemed to incorporate the effect of such rule, regulation, order or other action.
