Employees Covenants a. From the Effective Date of this Agreement and continuing until the second (2nd) anniversary of Employee’s termination, Employee shall not interfere with the business of Hyperion by, directly or indirectly, personally or through others, soliciting or attempting to solicit, on Employee’s own behalf or on behalf of any other person or entity, the employment of any employee of Hyperion, or any of Hyperion’s affiliates. During this period, Employee shall not encourage or induce, or take any action that has the effect of encouraging or inducing, any employee of Hyperion, or any of Hyperion’s corporate affiliates, to terminate that employee’s employment.
Employees Covenants. The Employee agrees that, subject to the terms -------------------- and conditions of this Agreement, the Employee will remain in the employ of the Company until the earliest of (i) the date of a Change in Control which is not an Approved Change in Control, (ii) the first anniversary of the date of an Approved Change in Control, (iii) the date of termination by the Employee of his/her employment for Good Reason, by reason of death or Retirement, or (iv) the termination by the Company of the Employee's employment for any reason.
Employees Covenants. In consideration of employee’s employment with Employer, and other good and sufficient consideration which Employee hereby acknowledges receipt of, Employee agrees to be bound by the following restrictive covenants which Employee understands and agrees shall remain in full force and effect both during Employee’s employment and after Employee’s termination from employment regardless of the reason for Employee’s termination.

Employees Covenants. You agree that you shall devote the whole of your working time, attention and ability to the business of DRAXIS and shall use reasonable best efforts to promote the interests of DRAXIS. You agree that you shall duly and diligently perform all the duties assigned to you while in our employ and shall well and faithfully serve DRAXIS. You also agree that while employed with DRAXIS you shall not, without the prior written consent of DRAXIS, engage or otherwise be concerned in any other business or occupation, or become a director, officer, agent or employee of any other entity. Furthermore, you specifically agree that you shall respect and comply with by the DRAXIS's Disclosure Policy, as amended from time to time copy thereof provided herewith as Schedule "C" to form an integral part of this Agreement, the DRAXIS's Code of Ethics as amended from time to time., copy thereof provided herewith as Schedule "D" to form an integral part of this Agreement, and all and any relevant rules and legislation, such as, without limiting the generality of the foregoing, the rules on Insider Trading in the TSX COMPANY MANUAL, the ONTARIO SECURITIES ACT, xxx XXXXXXXX BUSINESS CORPORATIONS ACT and QUEBEC SECURITIES ACT. You acknowledge that your senior position with DRAXIS will deem you an insider of DRAXIS and therefore subject to applicable mandated insider regulatory and company share trading policies and restrictions. 12.
