Duties and Responsibilities of Contractor. Upon execution of the Agreement, Metro and Contractor shall begin work on the Developed Documents as defined in paragraph 1.02. The Developed Documents shall be completed within 90 days. When the Developed Documents are completed and agreed to by the parties, such Developed Documents shall become part of this Agreement by amendment thereto. In the event that Metro and Contractor cannot agree with the Developed Documents, Metro reserves the right to terminate the Agreement within ten days written notice to Contractor after delivery of the Developed Documents to Metro. In the event that the Developed Documents materially modify Contractor’s Proposal and the material modification is introduced by Contractor, Metro may reject the Developed Documents, at its sole option, and be relieved of any obligation in the Agreement and contractor shall refund to Metro any payments made to Contractor under this Agreement in excess of the costs incurred by Contractor in preparing the Developed Documents. 2.01 Contractor shall provide Metro with a system and software for an integrated, full-featured Advanced Records Management and Automated Field Reporting System for the Metropolitan Nashville Police Department (MNPD). Contractor shall provide the software set forth in Contractor’s response to Request For Proposal, which is attached hereto and incorporated by reference herein. Contractor shall provide maintenance, support and services for this system software during delivery, installation and testing. Contractor shall provide maintenance, service and support for this system pursuant to the service and support agreements attached hereto. 2.02 This contract shall have two phases: Phase I shall include the development and completion of Developed Documents consisting of: project work plan with specific assignments; hardware and software schedule; functional specifications and detailed design document; customization specifications; training plan; set-up of a pilot/test environment for Metro, and Acceptance Test plan. These documents shall be known, collectively, as the “Developed Documents”. i) Metro and Contractor recognize the critical nature of system performance on the success of the system installation. During Phase I of this Agreement, Contractor and Metro will develop specifications for hardware, software, and network configurations. Duties and Responsibilities of Contractor. Contractor shall at all times abide by the following, which are material terms of this Agreement. a. Contractor shall at all times be familiar with and abide by all state, federal and local laws, regulations and administrative codes applicable to loan transactions in the State of California and shall not commit any unlawful act under any law, or violate any applicable regulation or administrative code including but not limited to do not call lists, anti-discrimination laws, restrictions against giving or receiving kickbacks from borrowers, receiving undisclosed referral fees or gratuities from lenders, or giving or accepting a fee or other thing of value for the referral of business to title companies, escrow companies or other service providers. b. All documentation (paperwork) for funded loans should be uploaded to Point to complete the closing of a loan. c. Contractor understands, acknowledges and agrees that Equity Smart has zero tolerance for (a) loan fraud, (b) wire fraud, (c) alteration of documents, (d) initialing or signing documents in another’s name, (e) inserting information or altering information on a document after the document is signed, or (f) any illegal or unethical behavior of any kind, and that any such conduct by Contractor will be cause for immediate termination of this Agreement. d. All Trust Funds shall be handled in compliance with the Business and Professions Code, and all other applicable laws. e. Duties and Responsibilities of Contractor. CONTRACTOR shall have the following duties and responsibilities during the term of this Agreement: a) CONTRACTOR shall provide all personnel management, staff, parts and supplies necessary to run an efficient and effective on-site parts operation from 7:00 a.m. to 3:30 p.m. Monday through Thursday and 6:15 a.m. to 2:45 p.m. on Fridays. b) CONTRACTOR shall provide back-up emergency service during non-working hours on an as needed basis. This overtime expense (calculated at time and one half) will be charged on a cost basis to the CITY, and must be pre-approved by either the CITY’s Assistant Public Works Director, the Fleet Manager, or the Assistant Fleet Manager. CONTRACTOR will provide a list of personnel, including phone numbers, who will respond to emergency service requests. c) CONTRACTOR shall supply all parts and shop supplies (including tires) necessary to maintain and repair the CITY’s fleet of vehicles and equipment and may include but not limited to Original Equipment Manufacturer (OEM) parts, aftermarket parts, small engine parts, agricultural parts, hydraulic hoses, fasteners, chemicals, tools and equipment and any other commodities including commercial plumbing, electrical, lumber and other related items/supplies determined by the CITY’s Fleet Manager. The CITY will have the ability to expand the scope of items required. d) CONTRACTOR shall provide parts inventory to the Fleet Management facilities with accounting and security procedures. The on-site store location shall be appropriately secured or otherwise maintained separate and apart from the business of the CITY. There shall be no intermingling of CITY parts or other inventory with CONTRACTOR’s parts or inventory. Access to the secured on-site store shall be restricted to CONTRACTOR employees and authorized CONTRACTOR representatives only. CONTRACTOR will assume all losses. CITY employees, contractors or agents shall not be permitted to enter the secured on-site store area unless accompanied by a CONTRACTOR employee or other authorized CONTRACTOR representative. e) All items/parts provided shall be new unless stated otherwise.
