Distribution Center. Incoming Mail The Distribution Center is responsible for all Retirement Plan Services' (RPS) incoming mail (all times CST): RPS specific PO Box Mail is received periodically throughout the day RPS Street addressed mail is received by 8:30 am RPS Overnights mail is received by 10:00 am As provided for in Section 1.D. of the Agreement, DST reserves and shall have the right to change the foregoing times in its sole discretion.

Distribution Center. During the term of this Agreement, and as more fully set forth in a Statement of Work, Products will be shipped by, or on behalf of, DZTK to, and stored by PFS at, the PFS distribution center(s) identified in a Statement of Work (the "Distribution Center"). DZTK is responsible for all freight, handling and importation costs in delivering the Products to the Distribution Center. DZTK is responsible for administering and managing the shipment and delivery of Products to the Distribution Center and will provide PFS with prior notice and rolling projections of Product shipments and deliveries as described in a Statement of Work. PFS will unpack and store all Products delivered to the Distribution Center in accordance with the terms of a Statement of Work. Except as otherwise set forth in a Statement of Work, PFS has no liability for in-bound or out-bound freight or shipping costs.
Distribution Center. During the term of this Agreement, Supplier shall continue to provide warehouse slots for shipping and delivery of Products purchased pursuant to the terms of this Agreement at Supplier’s distribution center located at 0000 X.X. Xxxx Xxxx, in Milwaukie, Oregon. Supplier will provide the following minimum slots based upon the terms of this Agreement: Types Current Future Needs Grocery/Repack 1,300 1,600 Frozen Meat 300 350 Frozen Food 400 500 Deli Meat/Cheese/Dairy 375 450 Produce 103 150 Fresh Meat 22 35 Total: 2,500 3,085 Company and Supplier will meet as soon as is reasonably practicable to achieve mutually satisfactory timing for future slot needs, and to adopt a reasonable policy for removing discontinued items. Supplier agrees to provide additional warehouse slots for shipping and delivery of Products purchased pursuant to the terms of this Agreement in numbers and at charges to be agreed upon by Supplier and Company. Notwithstanding the foregoing, Supplier, in its sole discretion, may elect to provide the warehouse services contemplated by this Agreement at facilities other than the Milwaukie facility referenced above. In the event Supplier relocates any or all of its distribution activities, there shall be no diminution in the level or extent of services contemplated by this Agreement. In addition, in the event of a relocation, Supplier shall charge Company transportation fees as though Supplier continued to maintain a facility in Milwaukie, and will hold Company harmless from any increase in third party transportation fees occasioned by such relocation.

Distribution Center. If(i) the Company elects to expand ------------------- the Company's Plainfield, Indiana distribution center to a size not to exceed 360,000 square feet in an easterly direction, (ii) the Company has used all reasonable efforts to obtain all required zoning approvals (including reasonable consultation with The Limited with respect to the zoning approval process) and (iii) there is a final determination by the applicable governmental authority that, in order to ensure compliance with applicable zoning requirements, the Company requires additional land to effect such expansion, then The Limited will convey or cause to be conveyed by one of its affiliates to the Company, at no cost to the Company, such additional land, up to a maximum of three acres, as is necessary to permit the Company to address the zoning issues raised in the final determination referred to above. In the event The Limited or one of its affiliates conveys land to the Company in accordance with the preceding sentence, the land to be conveyed shall be immediately to the south of the Company's lot in Plainfield, Indiana and shall be conveyed in a manner such that the new line dividing the lots of the Company, on the one hand, and The Limited and its affiliates, on the other hand, shall be parallel to the existing lot line. It is understood that, regardless of applicable zoning requirements, in no event shall The Limited be obligated to convey or cause to be conveyed more than three acres of land to the Company or to convey such land in a manner other than as set forth in the immediately preceding sentence.
Distribution Center. Logistics Services provided pursuant to this Agreement shall be provided, unless otherwise specified herein, at the distribution center located at Xxx Xxxxxxx Xxxxxxx, Xxxxxxxx, Xxxx, 00000 (“Distribution Center” or “DC1”); provided that LLS shall have the right to continue to utilize other facilities (including the distribution center located at Four Limited Parkway in Reynoldsburg, Ohio) to the extent currently utilized and as necessary for personal care products. DC1 shall be utilized exclusively for providing Express Logistics Services. In the event the current facilities are not sufficient to provide Logistics Services as forecasted in Schedule 4, LLS shall provide such additional facilities as the parties mutually determine may be necessary or appropriate to support the required Logistics Services.
