Delphi. Delphi. As of January 1, 2000, Delphi Automotive Systems ("Delphi") shall not be included within the definition of "Customer" under the Transaction Agreement. Nothing in this Amendment shall prevent Supplier from providing services to Delphi under an agreement entered into between Supplier and Delphi.
Delphi. (a) The Distributor Supply Agreement dated September 1, 1999 (the "Distributor Supply Agreement") between Delphi Packard Electric Systems, a division of Delphi Automotive Systems LLC, a Delaware limited liability company ("Delphi Packard Electric"), and Pioneer, the Distributor Supply Agreement effective June 15, 2001 Addendum (the "Distributor Supply Agreement Addendum") between Delphi Packard Electric, Pioneer and Delphi Connections Systems, a division of Delphi Packard Electric ("Delphi Connections") and the Delphi Europe Product Distribution Agreement dated December 6, 2000 (the "European Agreement") between Delphi Automotive Systems Deutschland GmbH, a German limited liability company ("Delphi Europe"), and both Pioneer and the GmbH Subsidiary represent the only agreements between any of Pioneer, the GmbH Subsidiary, Delphi Packard Electric, Delphi Europe or Delphi Connections regarding distribution services relating to the Delphi line of products, except for (i) agreements, contracts and other instruments entered into in the ordinary course of business pursuant to such agreements, and (ii) the draft Distributor Supply Agreement dated January 1, 2003 between Delphi Packard Electric and Pioneer, amending or superceding the Distributor Supply Agreement, a complete and accurate copy of which has been provided to Purchasers.
Delphi. The term “Delphi” shall have the meaning ascribed to it in the third paragraph of the preamble to this Settlement Agreement.
Delphi authorized representatives of the Companies, or any of their successors or affiliates, unless (i) Delphi can show that such Unicover Confidential Information has become known or available to the public generally through no fault of Delphi, (ii) disclosure is required by law or the order of any governmental authority, (iii) disclosure is required to be made by the disclosing party to any federal, state, local or foreign governmental tax authority or (iv) the disclosing party reasonably believes, based on the advice of counsel, that such disclosure is required in connection with the defense of a lawsuit against the disclosing party, provided that, prior to disclosing any information, Delphi shall give prior written notice thereof to the Companies and provide the Companies with the opportunity to contest such disclosure and shall cooperate with efforts to prevent such disclosure. In the event of a breach or threatened breach by Delphi of the provisions of this Section 6.2(a), the affected Company shall be entitled to an injunction restraining Delphi from disclosing, in whole or in part, such confidential information. Nothing herein shall be construed as prohibiting the affected Company from pursuing any other available remedy for such breach or threatened breach, including the recovery of damages.
Delphi. As of and after the Contribution Date, Delphi shall comply with Environmental Laws at the Delphi Facilities and the sole legal and financial responsibility for compliance with Environmental Laws applicable to Delphi’s use of, operations at or occupancy of the Delphi Facilities shall be that of Delphi.
Delphi. E shall receive all software that provides communication between the dSPACE AutoBox and the target controller (68332 or 68HC11). This includes all source code, executables, assemblers, batch files and any other support software required to generate, compile, and download the communication software to the AutoBox dual-port RAM. Delphi-E shall also receive any available documentation and training (not to exceed 3 days) from GMPTG to understand how the above software functions.
