Delivery of Source Code. Within five (5) days of the Closing Date, the Company shall deliver to the Purchaser in escrow, the Source Code and the Commentary (each as defined in the License Agreement) for the software programs entitled "Dr. Chart" and "@Rx," together will all necessary codes, keys and all similar types of access information in order to access all such Source Code and to customize, modify, and manipulate the related software programs. The Purchaser shall deposit materials in a secure, environmentally safe, locked facility which is accessible only to authorized representatives of the Purchaser. The Purchaser shall have the obligation to use its best efforts to protect and maintain the confidentiality of the deposit materials. The Purchaser shall not disclose, transfer, make available, or use the deposit materials and shall not disclose the contents of the deposit material to any third party or to any unauthorized personnel. Upon the occurrence of an Event of Default which remains uncured for a period of thirty (30) days, the Company shall grant to the Purchaser a perpetual, non-exclusive, non-transferable, limited license to use and copy "Dr. Chart" and "@Rx", in source code form, and to create derivative works therefrom, thirty (30) days from such Event of Default if such Event of Default remains uncured. The Purchaser will acknowledge and agree that such license shall not commence unless and until such Event of Default occurs and remains uncured for a period of thirty (30) days, and the Purchaser shall have no right to use any source code unless and until the occurrence and continuance of such Event of Default.
Delivery of Source Code. Licensor shall deliver one copy of the source code of the Licensed Product to Licensee together with all comments and programmers notes. Licensee may also use the source code for any purpose consistent with Licensee's license to the Licensed Product.

All of the rights and privileges granted under this Agreement with respect to the Software shall apply to the Source Code, and Licensee, Governmental Entities, and their Authorized Contractors shall be entitled to exercise all of such rights and privileges with respect to the Source Code, including all rights to maintain, support, modify, enhance, and prepare derivative works based upon, the Software and/or the Source Code.
Delivery of Source Code. Publisher shall furnish and deliver to the applicable Governmental Entity a complete copy of all Source Code (on a media and in an electronic format acceptable to the Governmental Entity) and updated Documentation (including any written information necessary or desirable for the maintenance, modification, compilation, and/or Enhancement of the Software): 4.4.1. When the Publisher first delivers the Software to the Governmental Entity; 4.4.2. Whenever Vendor delivers, provides, or makes available any Enhancements; or 4.4.3. Within five (5) business days of receiving any written notice from a Governmental Entity requesting such Source Code and Documentation. All of the rights and privileges granted under this ▇▇▇▇ and the Publisher’s standard contract documents or terms and conditions with respect to the Software shall apply to the Source Code and Documentation.
Delivery of Source Code. Agrilink will deliver copies of the source code of the ASIS System and the Pro-Fac Securities System, as well as any associated documentation, to Pro-Fac within thirty (30) days of the date hereof, solely for Pro-Fac's use during the Support Term as permitted under Section 4, and after the Support Term as otherwise licensed or assigned under this Agreement.

Delivery of Source Code. From time to time within ten (10) days of any notice by County to Contractor, Contractor shall deliver to County Project Manager, the relevant portions of the Source Code to meet County's request, as reasonably determined by Contractor but subject to County review, necessary or useful to County’s exercising of its License rights pursuant to this Paragraph 13.0.
