Customer Transactions. Correspondent represents that all orders and other transactions received by Southwest will be in accordance with their Customer's instruction. The parties hereto expressly agree that Southwest shall not be bound to any investigation into the facts surrounding any transaction that Correspondent may have with its Customers or other persons, nor shall Southwest be under any responsibility for Exhibit 10.4 - Pg. 22 compliance by Correspondent with any laws or regulations which may be applicable to Correspondents.
Customer Transactions. 4.1 On entry by the Customer into a Counterparty Transaction, a Customer Transaction shall arise.
4.2 The terms of a Customer Transaction shall be as follows:
(a) the Prime Broker shall undertake obligations to and rights against the Customer such that the Prime Broker has rights and obligations equivalent to those of the Counterparty under the Counterparty Transaction, subject to paragraphs (c) and (d);
(b) the Customer shall undertake obligations to and rights against the Prime Broker such that the Customer has rights and obligations equivalent to those of the Prime Broker under the Counterparty Transaction, subject to paragraphs (c) and (d);
(c) if any Spread is set out in Schedule 2, the Spread shall be added to the payment obligation of the Customer under paragraph (a), and the right to payment of the Prime Broker under paragraph (b); and
(d) the Customer Trans,action shall be subject to and governed by the terms of the Customer Master Agreement.
4.3 Notwithstanding the provisions of clause 4.2, if the Customer enters into an Unauthorised Counterparty Transaction, the Unauthorised Customer Transaction which arises pursuant to such Unauthorised Counterparty Transaction shall be subject to the terms of clause 5 (Unauthorised Transactions), and the Prime Broker shall have all rights and remedies relating to the Unauthorised Counterparty Transaction and the Unauthorised Customer Transaction set out in this Agreement or otherwise arising at law or in equity.
Customer Transactions. Lessee may terminate this Lease in the event the number of customer transactions at the ATM does not achieve, or fails to maintain, the level deemed necessary by Lessee in its sole and absolute discretion to support the existence of the ATM on the Premises; or
Customer Transactions. As established by Airport Commission Resolution No. 96-0146, all on-Airport rental car transactions will take place at the Rental Car Facility. Off-Airport rental car companies will also be permitted to pick-up and drop-off customers at the Rental Car Facility.
Customer Transactions. 4.1 Ordering. Taymark shall collect all data necessary to process and fulfill Customer orders received through the Web Site. The Web Site will contain a telephone number that Customers may use to place orders. The parties agree that orders received by Taymark through that telephone line shall be deemed to be received through the Web Site and treated the same as orders received through Web Site.
Customer Transactions. Pursuant to the Purchase Agreement, Customer is purchasing, leasing, licensing, and/or acquiring the rights to use, on a non-exclusive, limited basis certain described NTI products and services (either SaaS 5000 or Software 5000, along with companion NTI Products/Hardware). The NPA describes the nature and scope of the NTI Products (Hardware) and services that are the subject matter of this SaaS Agreement and corresponding customer transaction (the “Customer Transaction”).

Customer Transactions. Affiliate Program Limits. Each accepted Affiliate Lead will expire according to the information provided in the Affiliate Tool (or if applicable, in the Program Policies) from the date the Affiliate Lead clicked on the Affiliate Link that was made available by you. We will pay you Commission as described in the Affiliate Tool (or if applicable, in the Program Policies) for each new Customer who completes an applicable Customer Transaction after clicking on an Affiliate Lead made available by you, provided that you remain eligible to receive Commissions pursuant to the terms of this Agreement. The start of the Customer’s subscription is determined by the date of the first purchase or sign up (as applicable) of the Subscription by the Customer and you will receive a Commission payment for that Customer Transaction only, regardless of any additional purchases made by that Customer during the term of their subscription.
Customer Transactions. Affiliate Program Limits – Each accepted Affiliate Lead will expire according to the information provided in the Program Policies from the date the Affiliate Lead clicked on the Affiliate Link that was made available by you. We will pay you Commission as described in the Program Policies for each new Customer who completes an applicable Customer Transaction after clicking on an Affiliate Link made available by you, provided that you remain eligible to receive Commission pursuant to the terms of this Agreement. We will pay Affiliate a percentage of the fees that the Customer generates for the first year starting from when that Affiliate Lead becomes a Customer. Eligibility – To be eligible for Commission (i) an Affiliate Lead must be accepted and valid in accordance with the ‘Acceptance and Validity’ section, (ii) a Customer Transaction must have occurred, (iii) a Customer must remain a customer during the locking period in the Program Policies. You are NOT eligible to receive Commission or any other compensation from us based on transactions for Other Products or if: (i) such compensation is disallowed or limited by federal, state or local law or regulation in the United States or the laws or regulations of your jurisdiction; (ii) the applicable Customer objects to or prohibits such compensation or excludes such compensation from its payments to us or Everest Affiliates; (iii) the Customer has paid or will pay such commissions, referral fees, or other compensation directly to you, (iv) the Commission payment has been obtained by fraudulent means, misuse of the Affiliate Link, in violation of any Affiliate Program Policies that we make available to you, misuse of the materials by any other means that we deem to breach the spirit of the Marketing Affiliate Program, or (v) the Customer participates in any of our partner programs. In competitive situations with other affiliates, we may elect to provide the Commission to the affiliate that we deem to be the most eligible for
Customer Transactions. Customer may not present for processing, directly or indirectly, any transaction which was not originated as a result of an act between the cardholder and Customer or which is not an Authorized Card Transaction. If authorization for a transaction is denied, Customer shall not complete the transaction. Customer may contact the authorization center by magnetic stripe reading terminal, telephone or any other means acceptable to the Bank and WorldPay. For all transactions, Customer shall provide the cardholder with a transaction receipt, which shall evidence purchases made by a cardholder or credits to a cardholder’s account, as the case may be, in accordance with the Rules. Calculation, collection and remittance of sales tax are the sole responsibility of the Customer.
