Customer License. DTS shall respond promptly and professionally to questions, comments, complaints and other reasonable requests regarding any aspect of DTS application by Licensee. DTS business hours are Monday-Friday 8AM PST to 5PM PST except for national/state holidays.
Customer License. Upon payment in full by Customer to EMC in accordance with the payment provision contained in the Statement of Work applicable to any particular Work Product, Customer, to the extent that Proprietary Rights are contained in the Work Product, is licensed to use Proprietary Rights on a non-exclusive, non transferable, royalty-free, worldwide basis for its own internal use. Customer shall not sublicense or otherwise transfer to any third party any rights to use Proprietary Rights.
Customer License. Any distribution of the Product by PSW to Customers shall be pursuant to the terms and conditions of PSW's Customer license in the form attached hereto as Schedule B or to a form that contains the minimum terms and conditions of and is no less restrictive in protecting CCSI's interests than such agreement attached hereto as Schedule B. Any distribution of the Product by PSW to Resellers and then by Resellers to Customers shall be pursuant to the terms and conditions of PSW's Reseller agreement in the form attached hereto as Schedule C or to a form that contains the minimum terms and conditions of and is no less restrictive in protecting CCSI's interests than such agreement attached hereto as Schedule C. PSW agrees to provide and to require its Resellers to provide in a conspicuous manner one copy of the Customer license attached as Schedule 2 to Schedule C hereto with each Product. PSW agrees to report to CCSI any known or suspected violation(s) of the Customer license agreement or Reseller agreements and to reasonably cooperate with CCSI in any enforcement actions taken by CCSI. If a conflict arises between Schedule B and any other Customer license agreement, the terms of Schedule B shall prevail. If a conflict arises between Schedule C and any other Reseller agreements, the terms of Schedule C shall prevail. PSW shall undertake reasonable efforts to enforce the terms of any license agreement between PSW or its Resellers and a Customer as it relates to the Products. No Customers shall have any right to sublicense the Product unless they are also a Reseller.
Customer License. Customer grants Power Grids, its Affiliates and applicable contractors a worldwide, limited-term license to host, copy, transmit and display Customer Data for the purpose of providing the Services.
Customer License. Subject to the terms and conditions of this Agreement, Customer shall have only a non-exclusive, non-transferable, limited license during the Term to: (a) access and use the Administrator Software solely for the purposes expressly permitted by this Agreement and for no other, and (b) use the Documentation, user manuals, training materials and other materials, whether in paper or electronic form, that Administrator may provide from time to time solely for the purposes of accessing and using the Administrator Software as expressly permitted by this Agreement.
Customer License. Paciolan hereby grants to Customer a non-exclusive, non-transferable license (the “Customer License”) to access and use the Site and to conduct and use the Site for Customer’s internal business purposes.
Customer License. Presence hereby grants to Customer, as of the Roll-Out Date and continuing for the Term of License, the limited, non-exclusive right and license to access and use Presence’s web-based software application at xxxxxxxx.xx together with any related downloadable software applications (collectively, the “App”) in accordance herewith (the “License”). Subject to the License, as between Presence and Customer, Presence alone shall own all right, title, and interest in and to the App and all related Presence property.
Customer License. (a) Subject to the provisions of Section 6, Administrator hereby grants Customer a non-exclusive, non-assignable, royalty-free right to use, modify, enhance, copy, perform, display, create derivative works from, and otherwise use, Administrator Materials which include or reflect Customer specific requirements in documents created during the term of the Letter Agreement, together with such other procedures and processes to the extent necessary for Customer: (i) to receive the Services during the Term; and (ii) for Customer to receive the Termination Assistance Services during the Termination Assistance Period in accordance with Section 16 below. Furthermore, Administrator hereby consents to the disclosure of such Administrator Materials to third parties subject to execution of a nondisclosure agreement between any such third party and Administrator in a form reasonably acceptable to the Parties.
Customer License. Subject to the terms of the Agreement, Proofpoint grants to Customer a worldwide, royalty-free, non- exclusive, time-limited, non-transferable (except to a successor-in-interest as permitted hereunder), limited license to access and/or use (as applicable) the Proofpoint Products during the Term in the quantities of Licenses specified in the applicable Purchase Order and subject to any limitations set forth in the corresponding applicable quote, solely for Customer’s own internal business purposes. Customer may authorize subcontractors and/or Affiliates to access and/or use the Proofpoint Products, subject to the number of Licenses authorized by the Agreement and the terms and conditions of the Agreement; provided Customer is liable for all acts and omissions of the subcontractors and/or Affiliates. Customer may use the Documentation in connection with the License granted hereunder.
