CONTRACT PREPARATION. The parties acknowledge that they have had the opportunity to obtain advice and counsel as was necessary for each of them to form a full and complete understanding of all rights and obligations herein. This Contract contains the parties' mutual expressions and the resulting document shall not, solely as a matter of judicial construction, be construed more severely against one of the parties than the other.
CONTRACT PREPARATION. It is agreed and understood by the parties hereto that this Contract has been arrived at through negotiation and that neither party is to be deemed the party which created any uncertainty in this Contract within the meaning of Civil Code section 1654.
CONTRACT PREPARATION. 24.01 The Contract shall be prepared by the Association with an electronic version provided to the Board of Education. Copies of the Agreement shall be printed at the equal expense of the Association and the Board.

In the event of a dispute, the parties will be advised to retain independent counsel.

CONTRACT PREPARATION. The Board and the Superintendent acknowledge that they have sought and obtained whatever competent advice and counsel as was necessary for them to form a full and complete understanding of all rights and obligations herein and that the preparation of this Contract has been their joint effort. Regardless of which party or party’s counsel prepared the original draft and subsequent revisions of this Contract, the Superintendent and the Board and their respective counsel have had equal opportunity to contribute to, and have contributed to, its contents and this Contract shall not be deemed to be the product of and, therefore, construed against either of them.
CONTRACT PREPARATION. 3.01 The Employer will present a final draft of the negotiated agreement for review and presentation for ratification by the membership. The Union will pay the cost of printing a copy of the Collective Agreement in a form to be provided to all employees with 100 copies of the Collective Agreement to be provided to the Company for distribution. The Collective Agreement booklet will be printed within three (3) months following ratification of the Collective Agreement.

Furthermore, each party acknowledges that he/she has had the opportunity to employ an independent attorney and tax advisor in regard to this Contract. The parties affirm that ▇▇▇▇▇▇▇ & Sunderland Law Offices do not represent either party as an attorney in this transaction and, in the event of a dispute, the parties will be advised to retain independent counsel.
CONTRACT PREPARATION. A. All Contracts must be in writing.
B. All Contracts must contain key performance indicators, ensuring the following areas are encompassed:
1. Quality management programs;
2. Participation in GMHA-directed quality auditing procedures;
3. Industry standard compliance; and
4. Contingency planning methods.
C. All contracts should be drafted clearly, in plain English to avoid ambiguity or misinterpretation.
D. The Contract Review Checklist (see Attachment I) shall be used to ensure all contract components are included in the contract.
E. Where necessary, the Manager is responsible for validating financial accommodation from the relevant budget.
F. All contracts must be finalized and issued by the Hospital Administrator/Chief Executive Officer. The Hospital Administrator/Chief Executive Officer has the general authority to sign for contracts for GMHA.
G. Legal review is required for contracts unless standard contract templates, preapproved by Legal Counsel, are used.
H. Business Associate Agreements (see Attachment II) are required for contracts with vendors who perform certain functions or activities on behalf of GMHA that require the use or disclosure of protected health information (PHI). PHI is individually identifiable information (oral, written, or electronic) about a member/patient’s physical or mental health, the receipt of health care, or payment for that care. The GMHA HIPAA Compliance Officer will determine this need.
1. GMHA requires its Business Associates (as defined under HIPAA) to safeguard protected health information disclosed to them, or that is created, received, maintained or transmitted by them on behalf of GMHA.
2. Protected health information is individually identifiable information (oral, written or electronic) about a member/patient’s physical or mental health, the receipt of health care, or payment for that care.
3. Covered Entities (as defined under HIPAA) do not require Business Associate Agreements.
I. A copy of the contract is to be kept on file with both the Manager and the Administration Office.
CONTRACT PREPARATION. Concessionaire shall prepare or cause to be prepared all Design Agreements and the Construction Agreements.
