Continuing Support. Licensee may decline to install an update or upgrade Licensor offers. In such event, Licensor shall continue the Maintenance Services for whatever version of the Software that is installed at Licensee, subject to Licensor's right to terminate this Maintenance agreement as permitted in article 2.3

For a period of twelve months following the Closing Date, Seller shall use its best efforts to provide reasonable access to all of Seller's employees, other than the Newco Employees, who provided services to the Business or in connection with the Business at any time during the eighteen months prior to the Closing Date.
