Continuing Review. From and subsequent to the date hereof, CVBG will have: (1) given to GCBS and its counsel and accountants access to their premises and books and records during normal business hours for any reasonable purpose related to the transactions contemplated hereby; and (2) cooperate and instruct CVBG’s counsel and accountants to cooperate with GCBS and with GCBS’s counsel and accountants with regard to the formulation and production of all necessary information, disclosures, financial statements, registration statements, and regulatory filings with respect to the transactions encompassed by this Agreement.
Continuing Review. Subject to applicable Laws, Nova shall continue to make available and cause to be made available to Allana and Allana’s agents and advisors all documents, agreements, corporate records and minute books as may be necessary to enable Allana to effect a thorough examination of Nova, the Nova Subsidiary and the business, properties and financial status thereof, and shall cooperate with Allana in securing access for Allana to any documents, agreements, corporate records or minute books not in the possession or under the control of Nova. Subject to applicable Laws, upon reasonable notice, Nova shall, and shall cause the Nova Subsidiary to, afford the officers, employees, counsel, accountants and other authorized representatives and advisors of Allana reasonable access, during normal business hours from the date hereof until the earlier of the Effective Date and the termination of this Agreement, to the properties books, contracts and records as well as to the management personnel of Nova, the Nova Subsidiary, and during such period, Nova shall, and shall cause the Nova Subsidiary to, furnish promptly to Allana all information concerning the business, properties and personnel of Nova and the Nova Subsidiary as Allana may reasonably request, except as limited by any applicable privacy laws.

Continuing Review. The parties agree that they will constantly keep the performance of this Agreement under review with quarterly contract performance review meetings to discuss volumes and progress on quality.
Continuing Review. As required, continuing review of approved research will be initiated by the IRB of Record, who shall remain responsible for determining the frequency and extent of continuing review for each study as adequate to ensure the continued protection of the rights and welfare of research subjects. The period of continuing review shall not exceed twelve months from the date of IRB approval. The PI must submit documentation of this substantive review and outcome, as conducted by the IRB of record. Subject to applicable Laws, upon reasonable notice, NWT shall, and shall cause the NWT Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Nu-Mex reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of NWT and the NWT Subsidiaries and, during such period, NWT shall, and shall cause the NWT Subsidiaries to, furnish promptly to Nu-Mex all information concerning the business, properties and personnel of NWT and the NWT Subsidiaries as Nu-Mex may reasonably request, except as limited by any applicable privacy laws. Nothing in the foregoing shall require NWT or the NWT Subsidiaries to disclose information subject to a written confidentiality agreement with any Person.
