Continued Links. Upon expiration of the Term, ICQ may, at its discretion, continue to promote one or more "pointers" or links from the ICQ Network to the homepage of MP and continue to use MP's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). So long as ICQ maintains a Continued Link, (a) MP shall pay ICQ* percent of gross revenue generated by ICQ Users, and (b) Sections 4.3 and 4.4, along with the terms of Sections 7 and 8 of Exhibit F and the terms of Exhibit G hereto shall continue to apply with respect to the Continued Link and any transactions arising therefrom. Notwithstanding the foregoing, in the event that ICQ materially and adversely changes the nature of the ICQ Service after the Term, MP may, upon written notice to ICQ, require that ICQ discontinue the Continued Link.
Continued Links. Upon expiration of the Term, AOL may, at its discretion, continue to promote one or more "pointers" or links from the AOL Network to the Standard Site and continue to use Onvia's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). So long as AOL maintains a Continued Link, (a) Onvia shall pay AOL the [* * *] offered under Onvia's then current affiliate program (within [* * *] of the end of [* * *] during which the Continued Link is maintained), or if no such affiliate program is then in effect, Onvia shall pay AOL [* * *] of all Transaction Margins arising from the sale of any products (e.g., regardless of whether such products are produced by Onvia or are provided to Onvia by a third party merchant) on the Standard Site (on a [* * *] basis within [* * *] following the end of the [* * *] in which the Transaction Margins were generated); (b) Sections 3.5, 3.6 and 3.7 along with the terms of Exhibit G hereto shall continue to apply with respect to the Continued Link and any transactions arising therefrom; (c) Onvia will continue to promote the Keyword Search Term provided to it hereunder in accordance with the requirements of this Agreement; and (d) all of AOL's rights with respect to the area on which the AOL Buying Directory resides shall continue as they existed during the Term.
Continued Links. Upon expiration of the Term, for up to one (1) year thereafter, AOL may, at its discretion, continue to promote one or more "pointers" or links from the AOL Network to an DigitalWork Interactive Site and continue to use DigitalWork's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). So long as AOL maintains a Continued Link, (a) DigitalWork shall maintain its Co-Branded Site, and pay AOL *** of all Transaction Revenues from AOL Purchasers sourced after the Term and during such Continued Link (on a *** basis within *** following the end of the *** in which such Transaction Revenues were generated), and (b) Sections 3.4 through 3.7, along with the terms of Exhibit G hereto shall continue to apply with respect to the Continued Link and any transactions arising therefrom.
Continued Links. Upon expiration or termination of this Agreement for any reason, each Party may, at its discretion, continue to promote one or more "pointers" or links from its sites or services to the other Party's site or services (and MP acknowledges that access to the AOL Service, CompuServe and certain other AOL properties or services may be limited to subscribers to those services), and continue to use such other Party's trade names, trademarks and service marks in connection therewith (collectively, a "Continued Link"), subject to any reasonable conditions or terms that the other Party may impose with respect to the use of its trade names, trademarks and service marks; and provided that unless this Agreement is terminated by MP due to a breach by AOL, the terms of Section 5.2.2(a) shall continue to apply if and to the extent that AOL provides links from an Exclusive Service to an MP Interactive Site. The provisions of this Section 5.3 will survive the termination of this Agreement.
Continued Links. Upon expiration of the Initial Term, AOL may, at its discretion (for a period not to exceed two (2) years), (i) continue to promote one or more "pointers" or links from the AOL Network to (a) an agreed-upon 1-800-FLOWERS Affiliated Site or (b) a 1-800-FLOWERS Interactive Site to be selected by 1-800-FLOWERS, and (ii) continue to use 1-800-FLOWERS' trade names, trade marks and service marks (approved for AOL use by 1-800-FLOWERS during the Initial Term) solely in connection therewith (collectively, a "Continued Link"). At the end of such two (2) year period (and at the end of each subsequent year thereafter), the Continued Link period shall automatically be extended by one (1) additional year unless either Party elects to terminate such Continued Link period prior to the end of any such year (any such Continued Link period, together with the Initial Term, collectively referred to herein as the "Term"). So long as AOL maintains a Continued Link, (i) 1-800-FLOWERS shall pay AOL *** of the Transaction Revenues generated during such period and (ii) the obligations of the Parties under Sections 1, 2, 3, 4.1, 4.2, 4.6.2, 8 and Exhibits X, X, X, X, X, X, X, X and J shall no longer apply.
Continued Links. Upon expiration of the Term, AOL may, at its discretion (subject to the obligations to redirect for six months as set forth below), continue to promote one or more "pointers" or links from the AOL Network to an AG Interactive Site and, continue to use AG's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). So long as AOL maintains a Continued Link, (a) the provisions of a Non-Exclusive Renewal Term shall apply, except only that clause (viii) of Section 8.3.2 shall no longer apply, and (b) Sections 4.6 through 4.9 along with the terms of Exhibits F and G hereto shall continue to apply with respect to the Continued Link and any transactions arising therefrom. For a period of at least [ ] months after any termination of this Agreement (including any renewals or extensions hereof), AOL shall be required to redirect traffic from such co-branded URLs to an AG designated URL and maintain a Continued Link, and AG shall be required to maintain the Modified Renewal Customized Site at such location; provided that AOL shall not be required to redirect to any site that is not a Customized Site, Modified Customized Site or Modified Renewal Customized Site meeting all the requirements thereof (e.g., without limitation, if the location to which AG requests redirection to promotes any Interactive Service in violation of Section 1.2, then AOL shall not be required to link thereto)). Thereafter, AOL may choose to maintain such a Continued Link, but shall not be required to.
Continued Links. If AOL does not elect to renew this Agreement in accordance with Section 5.3, AOL may, at its discretion, continue to promote one or more "pointers" or links from the AOL Network to an MP Interactive Site and continue to use MP's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). So long as AOL maintains a Continued Link, (a) MP shall pay AOL the revenue sharing required pursuant to Sections 3.2 and 3.3, without regard to any hurdles set forth therein, and (b) Sections 3.5, 3.6 and 3.7, along with the terms of Exhibit G hereto shall continue to apply with respect to the Continued Link and any transactions arising therefrom.
Continued Links. Upon expiration of the Term, AOL may, in its discretion, continue to promote one or more "pointers" or links from the AOL Properties to the Principal ICP Interactive Site and continue to use ICP's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). With respect to only the first year after the expiration of the Term, and provided that AOL maintains a Continued Link during such period, (a) ICP shall pay AOL the share of Job Listing Revenues required pursuant to Section 4.3 hereof (but no other payments described in Section 4.3), without regard to any performance hurdles set forth therein, and (b) Sections 4.5, 4.6 and 4.7 shall continue to apply with respect to the Continued Link and any transactions arising therefrom.
Continued Links. Upon expiration of the Term, AOL may, at its --------------- discretion, continue to promote one or more "pointers" or links from the AOL Network, including, without limitation from the AOL Exchange or any other Marketplace or Exchange then operated by AOL, to the Purchase Pro Exchange (collectively, a "Continued Link"). So long as AOL maintains a Continued Link, (a) Purchase Pro shall pay to AOL a sales commission equal to fifty percent (50%) of Post-Term Purchase Pro Transaction Revenues, (b) AOL shall pay to Purchase Pro a sales commission equal to fifty percent (50%) of Post-Term AOL Transaction Revenues and (c) Sections 3.7, 3.8 and 3.9 along with the terms of Exhibit F hereto shall continue to apply with respect to the Continued Link and any transactions and payments arising therefrom. In the event that market conditions have materially changed between the Effective Date and the institution of the Continued Link, the Parties shall negotiate in good faith to determine whether a sales commission other than fifty percent, or a payment structure other than a sales commission, is appropriate.
Continued Links. Upon expiration of the Term, AOL may, at its --------------- discretion, continue to promote one or more "pointers" or links from the AOL Network to a SmartAge Interactive Site and continue to use SmartAge's trade names, trade marks and service marks in connection therewith (collectively, a "Continued Link"). So long as AOL maintains a Continued Link, SmartAge shall either (at AOL's option): (i) pay to AOL on a monthly basis the most preferable rates offered under SmartAge's then-current affiliate programs, or (ii) pay to AOL the Unique User Payments and Page View Payments in Section 5.2 above (provided, however that instead of Unique Users visiting the Co- Branded Sites, AOL shall receive credit for Unique Users visiting the SmartAge Interactive Site which is linked to via the Continued Link). In addition, Sections 3.6, 3.7 and 3.8 along with the terms of Exhibit G hereto shall continue to apply with respect to the Continued Link and any transactions arising therefrom, except that, if and to the extent that it is not possible for *** to determine which users have linked to its *** via the *** without incurring ***, *** need not adhere to the requirements of Paragraphs ***, ***, and *** of *** hereto (only to the extent that those paragraphs relate to ***) with respect to users acquired following the Term, provided, however, that nothing herein shall relieve SmartAge of any duties or obligations that it may have with respect to AOL Users acquired during the Term hereof.
