Consent Not Required. Tenant shall have the right to transfer its interest in this Lease or the Premises without Landlord's prior consent, but with notice to Landlord.
Consent Not Required. Notwithstanding any other provision of this Agreement, if the IRS notifies U S WEST that the IRS will deal directly with the MediaOne Group with respect to its Tax Liability, U S WEST shall have full authority to act for the MediaOne Group and resolve any issue affecting its Tax Liability without the consent of New U S WEST. Tenant shall have the right, without Landlord’s consent, but with notice to Landlord, to assign this Lease or sublet all or a portion of the Premises to any parent, subsidiary, affiliate or successor of Tenant, to any person, firm or corporation which shall be controlled by, under the control of, or under common control with Tenant, or to any entity into which Tenant may be merged or consolidated or which purchases all or substantially all of the assets of Tenant. No assignment or sublease, whether with or without Landlord’s consent, shall relieve Tenant from its covenants and obligations under this Lease.
