3.2 Obdarovaný plne súhlasí s dodržiavaním Zásad dodržiavania zákonného postupu v konaní Bayer, v znení neskorších zmien, a v znení uvedenom na internetovej stránke Bayer: ▇▇▇.▇▇▇▇▇.▇▇.
3.3 V rozsahu, v akom sa predmet Zmluvy týka priamo alebo nepriamo farmaceutického odvetvia, Obdarovaný súhlasí s tým, že bude v plnom rozsahu dodržiavať Etický kódex farmaceutického priemyslu platný pre členov Asociácie inovatívneho farmaceutického priemyslu (AIFP), v znení neskorších zmien a v jeho aktuálnom znení uvedenom na internetovej stránke: ▇▇▇.▇▇▇▇.▇▇.
3.4 Obdarovaný súhlasí s tým, že na požiadanie poskytne spoločnosti Bayer informácie, dokumenty, prístup do priestorov a uspokojivé vysvetlenia týkajúce sa dodržiavania dokumentov v bodoch 3.1, 3.2 a 3.3 vyššie.
3.5 Nedodržanie ktorejkoľvek z povinností uvedených v bodoch 3.1, 3.2 alebo 3.3 vyššie zo strany Obdarovaného sa bude považovať za podstatné porušenie oprávňujúce Bayer na okamžité odstúpenie od tejto Zmluvy. Na vylúčenie pochybností Zmluvné strany súhlasia, že porušenie zahŕňa tiež neexistenciu uspokojivého vysvetlenia okolností alebo podozrení vyvolávajúcich primerané a odôvodnené obavy týkajúce sa dodržiavania ktorejkoľvek z povinností uvedených v bodoch 3.1, 3.2 alebo 3.3 vyššie.
3.6 Spoločnosť Bayer je oprávnená uplatniť právo v zmysle bodu 3.5 vyššie tiež v prípade preukázateľného vzniku porušenia uvedeného v bode 3.5 vo vzťahu Obdarovaného s treťou stranou.
3.7 Obdarovaný je povinný bezodkladne oznámiť spoločnosti Bayer akékoľvek konania dodávateľov alebo zamestnancov spoločnosti Bayer, ktoré sú v rozpore s ktorýmkoľvek z bodov 3.1, 3.2 alebo 3.3 vyššie. the Protection of Competition, as amended, Act No. 300/2005 Coll. the Criminal Code, as amended.
