Certain Personal Property. Schedule 4.8 sets forth a complete fixed asset schedule, describing all items of tangible personal property with an individual carrying value of at least $10,000 that were included in the Company Balance Sheet. No person other than the Company owns any vehicles, equipment or other tangible assets located on the Real Property that is necessary for the operation of the business. The assets are suitable for the purposes for which such assets are currently used or are held for use, and are in good working condition, subject to normal wear and tear.
Certain Personal Property. The Selling Entities have delivered to CTB a complete fixed asset schedule, describing and specifying the location of all items of tangible personal property that are included in the Balance Sheet. Except as listed on Schedule 4.7, since the Balance Sheet Date, no Selling Entity has (a) acquired any items of tangible personal property that has, in any case, a carrying value in excess of $10,000, or an aggregate carrying value in excess of $25,000 or (b) disposed of (other than in the ordinary course of business) any items of tangible personal property (other than Inventory) that have, in any case, an initial carrying value in excess of $10,000, or an initial aggregate carrying value in excess of $25,000.

Except as specified in Schedule 3.8, since the Balance Sheet Date, the Company has not acquired any items of tangible personal property that have a carrying value in excess of $10,000. All of such personal property included in Schedule 3.8 is, and any such personal property acquired after the date hereof in accordance with Section 5.1 will be, usable in the ordinary course of business, and all such personal property included in Schedule 3.8 conforms, and all of such personal property acquired after the date hereof will conform, with any applicable Laws relating to its construction, use and operation. Except for those items subject to the Non-Real Estate Leases and certain computer hardware and software owned by the Company's employees or consultants with an aggregate value of less than $5,000, no Person other than the Company owns any vehicles, material equipment or other material tangible assets located on the Real Property that have been used in the Business or that are necessary for the operation of the Business.

Except as listed on the Disclosure Letter, since the Balance Sheet Date, the Companies have not (i) acquired any items of tangible personal property that has, in any case, a carrying value in excess of $25,000, or an aggregate carrying value in excess of $50,000 or (ii) disposed of any items of tangible personal property (other than inventory) that have, in any case, an initial carrying value in excess of $25,000, or an initial aggregate carrying value in excess of $50,000.

Except for those items subject to the Personal Property Leases and certain computer hardware and software owned by the Company’s employees or consultants with an aggregate value of less than $5,000, no Person other than the Company owns any vehicles, material equipment or other material tangible assets located on the Real Property that have been used in the Business or that are necessary for the operation of the Business.

Except as specified in the Disclosure Schedule, since the Balance Sheet Date, the Company has not acquired any items of tangible personal property that have a carrying value in excess of $10,000, or an aggregate carrying value of $100,000. All of such personal property included in the Disclosure Schedule is usable in the ordinary course of business, and to the Company's knowledge, all such personal property included in the Disclosure Schedule conforms in all material respects with any applicable Laws relating to its construction, use and operation. Except for those items subject to the Company Non-Real Estate Leases (defined below), no Person other than the Company owns any vehicles, equipment or other tangible assets located on the Company Real Property that have been used in the Company Business or that are necessary for the operation of the Company Business.
Certain Personal Property. Schedule 4.8 is a list of all fixed Assets of each Company Group Member having a carrying value of at least $10,000. Except as specified in Schedule 4.8, since the Balance Sheet Date, no Company Group Member has acquired any items of tangible personal property that have a carrying value in excess of $10,000. All of such personal property included in Schedule 4.8 is, and any such personal property acquired after the date hereof in accordance with Section 6.1 will be, usable in the ordinary course of business, and conforms and will conform with any applicable Laws relating to its construction, use and operation. Except for those items subject to the Non-Real Estate Leases, no Person other than the Company Group Members owns any vehicles, equipment or other tangible assets located on the Real Property that have been used in the Business or that are necessary for the operation of the Business.
Certain Personal Property. Schedule 2.1 describes and specifies the location of all items of equipment, machinery, tools and furniture used exclusively in the manufacture and distribution of the Business Products. All of the equipment, machinery, tools and furniture used exclusively in the manufacture and distribution of the Business Products are in good operating condition, reasonable wear and tear excepted.
Certain Personal Property. Schedule 6.15 is a complete schedule of all fixed assets of the Elan Companies necessary for the operation of the Plant or for the proper functioning of the Sales Force Employees or the Canadian Sales Force Employees, describing all items of tangible personal property with a value of at least $25,000. All of such personal property included on Schedule 6.15 is usable in the Ordinary Course of Business and conforms in all material respects and will conform with any applicable Laws relating to its construction, use and operation. Except for those items subject to the Non-Real Estate Leases, no Person other than the Elan Companies owns any vehicles, equipment or other tangible assets located on the Plant necessary for the operation of the Plant or for the proper functioning of the Sales Force Employees or the Canadian Sales Force Employees. Such assets set forth on Schedule 6.15 are suitable for the purposes for which such assets are currently used or are held for use and are in good working condition, subject to normal wear and tear, and there are no facts or conditions affecting such assets that interfere in any material respect with the operation of the Business.
