Brokers, Finders and Others. Except for the fees paid or payable to Xxxxx, Xxxxxxxx & Xxxxx, Inc., Seller’s financial advisor (“Seller’s Financial Advisor”), there are no fees or commissions of any sort whatsoever claimed by, or payable by Seller or Seller Sub to, any broker, finder, intermediary, or any other similar person in connection with effecting this Agreement or the transactions contemplated hereby, except for ordinary and customary legal and accounting fees.

Landlord and Tenant each warrant and represent to the other that it has had no compensable dealings, negotiations, agreements, consultations or other transactions with any broker, finder, or other intermediary in respect of the Premises or this Lease Agreement, and that no Person is entitled to any brokerage fee, commission, or other payment in respect of this Lease Agreement, the transactions contemplated thereby and/or the Premises, arising from agreements, arrangements or undertakings made or effected by it with any third Persons.

Except for the fees and expenses in the total amount of Eight Hundred Thirty Seven Thousand Dollars ($837,000) (plus $10,000 of reimbursable expenses) payable to ComVest Group Holdings, LLC and $100,000 (plus a maximum of $100 of reimbursable expenses) payable to Cherry Tree Securities, LLC (“Cherry Tree”), the Company has not employed, and to the Knowledge of the Company, no other Person has made any arrangement by or on behalf of the Company with, any Person in connection with the transactions contemplated by this Agreement which would be entitled to any investment banking, brokerage, finder’s or similar fee or commission in connection with this Agreement or the transactions contemplated hereby.
