BER Sample Clauses
The BER (Best Endeavours or Reasonable Endeavours) clause defines the level of effort a party is required to use to fulfill a contractual obligation. In practice, this clause obligates a party to take all reasonable steps, or the best steps reasonably possible, to achieve a specified outcome, such as obtaining permits or completing a task, without guaranteeing success. The clause is commonly used to set expectations for performance where absolute certainty cannot be assured, thereby allocating risk and clarifying the standard of effort required under the contract.
