Authorizing Resolution. Secretary’s Certificate as proof of authority of signatory on behalf of Seller;

Authorizing Resolution. A resolution of Seller authorizing the conveyance of the Property.

Authorizing Resolution. The Investor Government shall provide a certified copy of its governing body’s authorizing resolution including the statements prescribed in the statute with the Agreement.

Authorizing Resolution. CIT shall have received a copy of appropriate resolutions authorizing the Company’s execution, delivery and performance of (i) this Agreement and (ii) any related agreements, in each case certified by the Secretary or Assistant Secretary of the applicable partner of the Company (the “Authorizing Entity”) which has adopted such resolutions as of the date hereof, together with a certificate of the Secretary or Assistant Secretary of the Authorizing Entity as to the incumbency and signature of the officers of the Authorizing Entity executing such Loan Documents and any certificate or other documents to be delivered by them pursuant hereto, together with evidence of the incumbency of such Secretary or Assistant Secretary.

Authorizing Resolution. This Agreement is entered into by the Authority pursuant to Agenda Item No. of 2017, approved at a regular meeting of its Board of Directors on , 2017.

Authorizing Resolution. Such documents as the Title Company may reasonably require evidencing Transferee's existence, powers, and authority to enter into and execute this Agreement and the transaction herein contemplated and to allow the Title Agent to issue the Title Policy;
