Appointment Services. 2.01 Subject to the terms and conditions set forth in the Master Agreement and this Schedule, Pioneer hereby employs and appoints Boston Financial as sub-transfer agent and sub-dividend disbursing agent.
2.02 Boston Financial hereby accepts such appointment and agrees that it will act as sub-transfer agent and sub-dividend disbursing agent on behalf of Pioneer for the Funds specified on Exhibit A to the Master Agreement, which may be amended in writing by the parties from time to time. Boston Financial agrees that it will also act as agent on behalf of Pioneer for the shares of the Funds in connection with any accumulation, open-account, retirement plans or similar plan provided to the shareholders of each Fund ("Shareholders") and set out in the currently effective prospectus and statement of additional information ("prospectus") of each such Fund, including without limitation any periodic investment plan or periodic withdrawal program. As used herein, the term "Shares" means the authorize and issued shares of common stock, or shares of beneficial interest, as the case may be, for each of the Funds (including each series thereof).
Appointment Services. Subject to the terms and conditions of this Agreement, the Company hereby engages CSGC, and CSGC hereby agrees, to provide to the Company such operational, managerial, strategic, financial, technology, risk, compliance and other advisory and support services as are reasonably requested by the Company from time to time and agreed by CSGC (the “Services”).

1.2 The Vendor agrees that it shall comply with the applicable consulting, design, build and implementation timelines and schedules, delivery priorities, deployment and commercialization milestones, and all other deadlines and time and priority related obligations concerning the provision and performance of the Services and provision of the Deliverables specified in the Statement of Work ("Performance Milestones"). Such Performance Milestones shall be delineated in a detailed project plan (“Detailed Project Plan”) which the Vendor agrees to provide to the City within 5 (five) business days of the Effective Date.
1.3 The Vendor agrees that it shall perform the Services in two phases as described in the Project Plan (“Phase 1” and “Phase 2” respectively). The Vendor agrees that the commencement of Phase 2 shall not commence until the City has provided its Acceptance (as defined below in Section 33.3) the Deliverables provided under Phase 1. For greater certainty, the City shall be under no obligation whatsoever to pay any Applicable Charges for the performance of the Services described under Phase 2 without such prior Acceptance of the Phase 1 Deliverables. The failure or delay of the City to provide such Acceptance shall not result in any deemed acceptance whatsoever. Furthermore, and without limiting Section 9.1, the City may terminate this Agreement immediately upon the completion of Phase 1 in the event the Deliverables provided under Phase 1 are not Accepted by the City for any reason whatsoever, including failures to meet Performance Milestones. Appointment Services. (a) Effective upon April 8, 2009, the Company retains Consultant to render management consulting services, as described below, to the Company for a period terminating on December 31, 2009 (the “Term”).
(b) During the Term, Consultant shall render to the Company management consulting advice and assume the role of Secretary of the company and Director of the Company., as well as other functions related to management services as shall reasonably be requested by the Board of Directors of the Company in connection with the operation of the business of the Company.
(c) Consultant shall not be required to be based in any particular location to perform its duties hereunder.

During the Term, Tellurian shall provide appointment services by designating, from time to time, one or more persons to be the executive officers and employees of the Partnership, including a chief executive officer, a chief financial officer, and the senior-most responsible employee for each of the following: (i) terminal operations; (ii) commercial operations; (iii) legal; (iv) Gas supply and trading; (v) pipelines; (vi) upstream; (vii) accounting; (viii) tax; (ix) human resources; (x) information technology; and (xi) environmental, health, and safety; and any other function or department designated by Tellurian as a “Partnership Officer” (as such term is defined in Section 5.6(b) of the General Partner LLC Agreement) or as a senior-level employee (such services, the “Appointment Services”, and together with the Management Services and Advisory Services, the “MASA Services”).
