Annual Servicing Report. By the date in each year specified in the Adoption Annex, beginning on the date specified in the Adoption Annex, the Master Servicer, at its expense, shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Master Servicer) to furnish a report to the Indenture Trustee, the Credit Enhancer, and each Rating Agency to the effect that the firm has examined certain documents and records relating to the servicing of mortgage loans during the most recent fiscal year then ended under sale and servicing agreements or pooling and servicing agreements (substantially similar to this Agreement, including this Agreement), that the examination was conducted substantially in compliance with the audit guide for audits of non-supervised mortgagees approved by the Department of Housing and Urban Development for use by independent public accountants (to the extent that the procedures in the audit guide are applicable to the servicing obligations in those agreements), and that the examination has disclosed no items of noncompliance with this Agreement that, in the opinion of the firm, are material, except for the items of noncompliance described in the report.

Annual Servicing Report. On or before March 15 of each year, beginning March 15, ____, the Servicer at its expense shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Servicer) to furnish a report to the Issuer, the Indenture Trustee, the Depositor, the Underwriters and each Rating Agency stating its opinion that, on the basis of an examination conducted by such firm substantially in accordance with standards established by the American Institute of Certified Public Accountants, the assertions made pursuant to Section 3.10 regarding compliance with the minimum servicing standards set forth in the Uniform Single Attestation Program for Mortgage Bankers during the preceding calendar year are fairly stated in all material respects, subject to such exceptions and other qualifications that, in the opinion of such firm, such accounting standards require it to report. In rendering such statement, such firm may rely, as to matters relating to the direct servicing of such Loans by Subservicers, upon comparable statements for examinations conducted by independent public accountants substantially in accordance with standards established by the American Institute of Certified Public Accountants (rendered within one year of such statement) with respect to such Subservicers.

In rendering such statement, such firm may rely, as to matters relating to direct servicing of mortgage loans by Subservicers, upon comparable statements for examinations conducted substantially in the manner described above (rendered within one year of such statement) of independent public accountants with respect to the related Subservicer. For purposes of such statement, such firm may conclusively assume that all servicing agreements among the Company and the Servicer relating to home equity mortgage loans are substantially similar one to another except for any such servicing agreement which, by its terms, specifically states otherwise.

In rendering such statement, such firm may rely, as to matters relating to the direct servicing of revolving credit loans by Subservicers, upon comparable statements for examinations conducted by independent public accountants substantially in accordance with standards established by the American Institute of Certified Public Accountants (rendered within one year of such statement) with respect to such Subservicers.
Annual Servicing Report. On or before March 31 of each year, beginning March 31, 2005, the Master Servicer at its expense shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Master Servicer) to furnish a report to the Indenture Trustee and a copy to each of the Rating Agencies to the effect that, for the prior calendar year (or in the case of the report delivered in 2005, from the Closing Date) (i) such firm has performed procedures in order to provide a report on the Master Servicer's assertion that the servicing of Home Equity Loans by the Master Servicer during the relevant period under this Agreement has been conducted in compliance with the terms and conditions set forth in this Agreement related to the servicing of the Home Equity Loans and the reporting thereof and (ii) that the Master Servicer's assertion is fair and accurate in all material respects.
