Amendment to Sections. 3(a) and 3(b). Sections 3(a) and 3(b) of the Employment Agreement are hereby amended to read in their entirety as follows:
Amendment to Sections. 7(b)(i)-(iii) of the Assignment Agreement. Sections 7(b)(i)-(iii) of the Assignment Agreement are hereby deleted in their entirety, and in lieu thereof there are inserted new Sections 7(b)(i)-(iii) as follows:
Amendment to Sections. 2(b) and 6(a)(1) of the Employment Agreement. Sections 2(b) and 6(a)(1) of the Employment Agreement are hereby amended by replacing the term “Section 6(d)” where such term appears in Sections 2(b) and 6(a)(1) by the term “Section 6(e).”
Amendment to Sections. 1(a) and 1(b). Sections 1(a) and 1(b) of the Agreement are hereby amended and restated in their entirety as follows:
Amendment to Sections. 2 and 5.2/Increase in Grant Amount. The amount of the Grant as defined in Section 2 of the Agreement is hereby increased by up to Two Hundred Twenty Five Thousand and 00/100 Dollars ($225,000.00), to a total Grant amount of up to Six Hundred Sixty Five Thousand and 00/100 Dollars ($665,000.00). All references in the Agreement to the $440,000.00 Grant amount shall hereafter be deemed references to the $665,000.00 Grant amount, and the Total Project Cost described in Section 5.2 of the Agreement is hereby changed to $1,135,000.00.
Amendment to Sections. (a) Sections 8.1, 8.3.1 and 8.3.2 are hereby amended by replacing references to “U.S. GAAP” with “IFRS-IASB”.
Amendment to Sections. 5.10 and 5.11. Sections 5.10 and 5.11 of ----------------------------------- the Loan Agreement are hereby amended by deleting such subsections in their entirety and replacing them with the following:
Amendment to Sections. 2.1(c)(i)(A) through (C) of the Stockholders Agreement. Sections 2.1(c)(i)(A) through (C) of the Stockholders Agreement are hereby amended and restated in their entirety to read as follows:

Amendment to Sections. 5.4(a) and 5.4(b) of the Purchase Agreement. Sections 5.4(a) and 5.4(b) of the Purchase Agreement are hereby amended by adding the words "and thereafter for a period of up to one year" immediately after the word "Closing" in the first two instances in which the word "Closing" appears in each of Sections 5.4(a) and 5.4(b). Sections 5.4(a) and 5.4(b) of the Purchase Agreement are hereby further amended by adding the words "and Seller each" immediately after the word "Purchaser" in the first instance in which the word "Purchaser" appears in each of Sections 5.4(a) and 5.4(b).
