Agent's Records. The Agent shall keep records regarding the Loans, the Letters of Credit and this Agreement in accordance with its customary procedures for agented credits.
Agent's Records. The Agent shall maintain records showing the undrawn and unexpired amount of each Letter outstanding hereunder and each Lender’s share of such amount and showing for each Letter issued hereunder (i) the Issuance Date and expiration date thereof, (ii) the amount thereof, (iii) the date and amount of all payments made thereunder and (iv) each Lender’s Pro Rata Share of the amount of each Letter issued. The Agent shall make copies of such records available to the Borrower or any Lender upon its request.
Agent's Records. The Agent's records regarding the amount of each Loan, each payment by the Borrower of principal and interest on the Loans and other information relating to the Loans shall be presumptively correct absent manifest error.
Agent's Records. The Agent's records with respect to the Loans, the interest rates applicable thereto, each payment by the Borrower of principal and interest on the Loans, and fees, expenses and any other amounts due and payable in connection with the Loan Documents shall be presumptively correct absent manifest error as to the amount of the Loans, the amount of principal and interest paid by the Borrower in respect of each Loan and as to the other information relating to the Loans, and amounts paid and payable by the Borrower hereunder and under the Notes and other Loan Documents.
Agent's Records deliver to the Issuer, the Guarantor and to its successor a copy, certified as true and up-to-date by an officer or authorised signatory of the Agent, of the records maintained by it in accordance with Clause 6.1 (Records);
Agent's Records. The Agent’s records regarding the amount of each Letter of Credit, each payment by the Applicant or any Co-Applicant of reimbursement obligations in respect of Letters of Credit and other information relating to the Letters of Credit shall be presumptively correct absent manifest error.
Agent's Records. The Agent shall maintain at one of its offices in Toronto, Ontario a copy of each Assignment and Assumption delivered to it and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amounts of Accommodation owing to, each Lender pursuant to the terms hereof from time to time (the “Register”). The entries in the Register shall be conclusive, absent manifest error, and the Borrower, the Agent and the Lenders may treat each Person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary. The Register shall be available for inspection by the Borrower and any Lender, at any reasonable time and from time to time upon reasonable prior notice.
Agent's Records. The Disbursing Agent shall keep records showing the names of all payees to whom disbursements are made by the Disbursing Agent, the date of each disbursement, and the amount of each disbursement, which records may be inspected by the Developer and the City Engineer. Inspections of Project. The City shall be responsible for making inspections during the course of the construction of the Public Improvements and shall determine to its own satisfaction that the work done or material supplied by the Developer to whom disbursements are to be made has been properly done or supplied in accordance with the City’s requirements. The Disbursing Agent shall not be required to conduct any inspections.
Agent's Records. The Agent shall maintain accounts in which it will record (a) the amount of each Loan made hereunder, the Agreed Currency and Type thereof and the Interest Period with respect thereto, (b) the amount of any principal or interest due and payable or to become due and payable from the Borrower to each Lender hereunder and (c) the amount of any sum received by the Agent hereunder from the Borrower and each Lender's share thereof.
Agent's Records. The Agent shall maintain records evidencing all Advances, all other amounts owing by the Borrower to the Lenders and the Agent hereunder and all cancellations effecting a permanent reduction of any undrawn portion of the Commitment Amount. The Agent shall enter in such records details of all amounts from time to time owing, paid or repaid by the Borrower hereunder. The information entered in such records shall, in the absence of manifest error, constitute prima facie non-exclusive evidence of the financial obligations of the Borrower to the Lenders hereunder.
