Affiliate Use. Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agrees in writing to comply with the terms of this Agreement; and (ii) a breach of the Agreement terms by Affiliate shall be considered a breach by Licensee hereunder. If Licensee has an affiliate or subsidiary with a separate license or support agreement for SAP software with any member of the SAP Group or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.
Affiliate Use. You may either (i) process the data of an Affiliate (for the purposes of creating group or non-consolidated reports); or (ii) permit Users who are employed or who are otherwise engaged as consultants, contractors or agents by an Affiliate to access and use the Software on your behalf only if you: (a) have paid the relevant Subscription Fees for such Users, and such Users form part of the User Subscriptions you have purchased from us; (b) maintain an accurate list of the relevant Affiliates and provide us with a copy of such list, upon request; and (c) promptly notify us of any change to the list of Affiliates specified in section 2.4(ii) above.
Affiliate Use. 2.2.1. Affiliates’ Use of the Software and other SAP Materials (applicable to the Software) to run their internal business operations as permitted under Section 2.1.1 is subject to the following:
Affiliate Use. Any Customer Affiliate may Use the Licensed Products, provided that (a) such Customer Affiliate Uses the Licensed Products only for its own and/or Customer’s internal business purposes strictly in accordance with all of the terms and conditions set forth in this Agreement (including, without limitation, Section 2.3 above), and (b) Customer Affiliate agrees to comply with and be bound by the terms of this Agreement. Customer hereby agrees to be fully responsible and liable for each and every Customer Affiliates’ (and its Users) full compliance with the terms and conditions of this Agreement, such that any breach of the terms of this Agreement by any such Affiliate (or its Users) shall be deemed a breach by Customer.
Affiliate Use. Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agree in writing to comply with the terms of this Agreement; and (ii) Licensee accepts responsibility for the acts or omissions of such Affiliates as if they were Licensee's acts or omissions; (iii) Licensee shall indemnify SAP & SAP SE against losses or damages suffered by SAP or SAP SE arising from breach of this Agreement by any such Affiliates as if effected by Licensee and (iv) such Use shall not constitute an unauthorised exportation of any SAP Proprietary Information under the applicable laws and regulations. If Licensee has an affiliate or subsidiary with a separate license or support agreement for SAP software with SAP SE, any SAP SE affiliate (including SAP) or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations and such affiliate or subsidiary shall not receive any support services under this Agreement even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.
Affiliate Use. “Affiliate” means, in relation to a party, any entity that directly or indirectly controls, is controlled by, or is under direct or indirect common control with such party, or which is a wholly owned subsidiary of such party, where “control” means owning, directly or indirectly, at least 51% of the equity securities or equity interests of such entity.
Affiliate Use. For the avoidance of doubt, you may either process the data of an Affiliate (for the purposes of creating group or non-consolidated reports) or permit Users who are employed or who are otherwise engaged as consultants, contractors or agents by an Affiliate to access and use the Service on your behalf only if you: (i) have paid the relevant Subscription Fees for such Users, and such Users form part of the User Subscriptions you have purchased from us; (ii) maintain an accurate list of the relevant Affiliates and provide us with a copy of such list, upon request; and (iii) promptly notify us of any change to the list of Affiliates specified in section 2.2(ii) above.
Affiliate Use. Any Customer Affiliate may Use the Licensed Products, provided that (a) such Customer Affiliate Uses the Licensed Products only for its own and/or Customer’s internal business purposes strictly in accordance with all of the terms and conditions set forth in this Agreement, and (b) such Customer Affiliate agrees to comply with and be bound by the terms of this Agreement and the applicable Order(s). Where Affiliates are included, all references to Customer in this Agreement and the applicable Order will refer equally to such Affiliates whether specified or not (unless otherwise stated in the Order). Customer hereby agrees to be fully responsible for each and every Customer Affiliate’s (and its Users) full compliance with the terms and conditions of this Agreement. Use by Affiliates counts toward User and Node measurements.
Affiliate Use. Darktrace acknowledges and agrees that the Offering may be used for the benefit of Customer Affiliates. Such Customer Affiliates will be entitled to utilise the Offering in the same way as Customer under the terms of this Agreement. To the extent that any such Customer Affiliate utilises the Offering in accordance with this Clause 5.5 Customer (acting as agent of the relevant Customer Affiliate) will be entitled to enforce any term of this Agreement and recover all losses suffered by such Customer Affiliate pursuant to this Agreement as though Customer had suffered such loss itself, provided that in no event may Customer make multiple recoveries in respect of the same loss. In the event that any Affiliate of the Customer is or becomes a competitor of Darktrace (in Darktrace's reasonable opinion), Darktrace may immediately on written notice suspend provision of the Offering to such Affiliate or, in some cases, terminate.
Affiliate Use. An Affiliate of Customer may access the Cloudera Products and use the Cloudera Software and Cloudera Online Services for which Customer has purchased a Subscription under an applicable Order Form, provided that: (i) such Affiliate (a) agrees in writing with Customer to be bound by and accepts all of the obligations imposed upon Customer under this ESMA (other than payment obligations for which Customer is solely responsible to Cloudera or its Authorized Partner, as applicable) or (b) Customer agrees to be responsible for the acts and omissions of such Affiliate in relation to the applicable Order Form; (ii) the Affiliate is not a Cloudera customer under separate contract, nor actively engaged with Cloudera in discussions for the purchase of Cloudera Products at the time an Order Form is executed pursuant to this ESMA; (iii) the Affiliate is not a direct competitor of Cloudera; and (iv) all of Customer’s obligations under this ESMA and the applicable Order Form will remain in force and undiminished.
