Additional Titles Clause Samples

Additional Titles. If, during the Term, Licensor develops or obtains the rights to license any live action or animated feature-length motion picture (each an “Additional Title”), Licensor shall give Licensee the first right of negotiation for each Additional Title (i.e., the preferred vendor). Licensor will promptly provide written notice to Licensee in which Licensor lists each Additional Title. Should Licensee agree to be the vendor for an Additional Title, Licensor and Licensee will negotiate in good faith to mutually agree upon the pricing and terms for each Additional Title in an amendment to this Agreement. Licensor will deliver each Additional Title in accordance with Section 4(a). Unless otherwise expressly stated in such an amendment, each Additional Title listed in such an amendment will be deemed a “Title” and Schedule A will be deemed amended to include such Additional Title.

Additional Titles. Notwithstanding any provision to the contrary contained elsewhere in this Agreement or in any other Loan Document, the Arrangers shall not have any duties or responsibilities, nor shall the Arrangers have or be deemed to have any fiduciary relationship with any Lender, and no implied covenants, functions, responsibilities, duties, obligations or liabilities shall be read into this Agreement or any other Loan Document or otherwise exist against the Arrangers.

Additional Titles. Notwithstanding any provision to the contrary contained elsewhere in this Agreement or in any other Loan Document, the Lead Arranger and Bookrunner shall have no duties or responsibilities in their capacity as such hereunder and such Persons shall not have or be deemed to have any fiduciary relationship with any Lender, and no implied responsibilities, duties or obligations of the Lead Arranger or Bookrunner shall be construed to exist in this Agreement or any other Loan Document.

Additional Titles. Notwithstanding any provision to the contrary contained elsewhere in this Agreement or in any other Loan Document, Capital One, National Association, Compass Bank (d/b/a BBVA Compass), Bank of the West, Citizens Bank, Fifth Third Bank and JPMorgan Chase Bank, N.A. (collectively in their capacities as joint lead arrangers, the “Lead Arrangers”) and Compass Bank (d/b/a BBVA Compass), Bank of the West, Citizens Bank, Fifth Third Bank and JPMorgan Chase Bank, N.A. (collectively in their capacities as co-syndication agents, the “Syndication Agents”) shall not have any duties or responsibilities, nor shall any of the Lead Arrangers or the Syndication Agents have or be deemed to have any fiduciary relationship with any Lender, and no implied covenants, functions, responsibilities, duties, obligations or liabilities shall be read into this Agreement or any other Loan Document or otherwise exist against any of the Lead Arrangers or the Syndication Agents.

Additional Titles. Notwithstanding anything herein to the contrary, the Credit Facility Documents may be amended to add syndication or documentation agents and make customary changes and references related thereto with the consent of only the Borrower and the Administrative Agent.

Additional Titles. Notwithstanding any provision to the contrary contained elsewhere in this Agreement or in any other Loan Document, neither the Lead Arrangers, the Syndication Agents listed on the cover page of this Agreement nor the Documentation Agent listed on the cover page of this Agreement shall have any duties or responsibilities, nor shall the Lead Arrangers, such Syndication Agents or such Documentation Agent have or be deemed to have any fiduciary relationship with any Lender, and no implied covenants, functions, responsibilities, duties, obligations or liabilities shall be read into this Agreement or any other Loan Document or otherwise exist against the Lead Arrangers, such Syndication Agents or such Documentation Agent.

Additional Titles. The Union and the County agree that the list of blue collar titles shall have the following two additional titles added: Senior Traffic Maintenance Worker/Sign Maker II – Grade E Equipment Operator/Inspector Mosquito – Grade E.
