Additional Efforts. Generac will advise its Authorized Service Dealers of the no-cost Inspection Claims available to Claimants pursuant to the settlement. Generac will also continue to remind Authorized Service Dealers in its service information bulletin to visually examine fuel systems (including but not limited to plenums, if any) during general maintenance or service visits. Generac will also update the information on its website regarding the Inspection Program.
Additional Efforts. Xxxxxxxxx.xxx and Client hereby acknowledge that the Parties may wish to supplement this Agreement with additional Internet efforts within the Exclusive Zip Codes. Any such initiatives shall be implemented upon the execution of a written amendment hereto.
Additional Efforts. Subject to the terms and conditions herein, provided each of the parties hereto agrees to use its commercially reasonable efforts to take, or cause to be taken, all action, and to do, or cause to be done, all things necessary, proper and advisable under applicable Law (including the HSR Act, if applicable), necessary to consummate and make effective the Transactions. In case at any time after the Closing Date any further action is necessary or desirable to carry out the purposes of this Agreement, Sellers and Buyer shall take all such necessary action. Sellers and Buyer will execute any additional instruments necessary to consummate the Transactions.

Subject to the terms and conditions of this Agreement, each Party hereto will use reasonable best efforts to promptly take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable Laws to consummate the transactions contemplated by this Agreement and each of the other Transaction Documents. Following the Closing, as and when requested by any Party hereto and at such Party’s expense, any other Party shall promptly execute and deliver, or cause to be executed and delivered, all such documents and instruments and shall take, or cause to be taken, all such further actions as the requesting Party may reasonably deem necessary or desirable to evidence and effectuate the transactions contemplated by this Agreement.

Subject to the terms and conditions of this Agreement, each Party hereto will use commercially reasonable efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable Laws promptly to consummate the transactions contemplated by this Agreement, including the satisfaction of the conditions set forth in Article VII.
Additional Efforts. Following the Closing, as and when requested by any party hereto and at such requesting party’s expense, any other party shall execute and deliver, or cause to be executed and delivered, all such documents and instruments and shall take, or cause to be taken, all such further actions as the requesting party may reasonably deem necessary or desirable to evidence and effectuate the transactions contemplated by this Agreement, including without limitation, post-closing cooperation by the parties regarding the Federal Communications Commission’s 499 filings associated with periods prior to closing.
Additional Efforts. Upon the terms and subject to the conditions set forth in the Tender Offer Agreement, each of the Company and Purchaser has agreed to use its best efforts to take, or cause to be taken, all action and to do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by the Tender Offer Agreement, and to cooperate with each other in connection with the foregoing, including using its best efforts (i) to obtain all necessary waivers, consents and approvals from other parties to loan agreements, material leases and other material contracts, (ii) to obtain all necessary consents, approvals and authorizations as are required to be obtained under any federal, state or foreign law or regulations, (iii) to defend all lawsuits or other legal proceedings challenging the Tender Offer Agreement or the consummation of the transactions contemplated thereby, (iv) to lift or rescind any injunction or restraining order or other order adversely affecting the ability of the parties to consummate the transactions contemplated thereby, (v) to effect all necessary registrations and filings, including, but not limited to, filings under the HSR Act and submissions of information requested by governmental authorities, and (vi) to fulfill all conditions to the Tender Offer Agreement.
Additional Efforts. Contacting chapters of NAPM and NCMA nearest the location where subcontracted services may be required to request assistance in identifying qualified and reputable SDB/WO firms.
Additional Efforts. Shareholder, in its capacity as a shareholder and/or a director of Parent (subject to the satisfaction of its fiduciary duties as a director, if applicable), shall use commercially reasonable efforts in good faith to (i) do, or cause to be done, all things necessary, proper or advisable under applicable Laws to permit the transactions contemplated by the Purchase Agreement to be consummated in accordance with the terms and conditions of the Purchase Agreement, including providing support and assistance in the preparation of application for all Regulatory Approvals and (ii) ensure that Parent does not violate Section 5.08 of the Purchase Agreement. Further and notwithstanding the foregoing, Shareholder agrees not to initiate or engage in any contact or communication with any Governmental Authority about the transactions contemplated by the Purchase Agreement or the Regulatory Approvals without the presence of or prior approval of representatives of the Buyer.
