A ssignment Sample Clauses
An Assignment clause defines the conditions under which a party may transfer its rights or obligations under the contract to another party. Typically, this clause specifies whether assignments are permitted freely, require the other party's consent, or are prohibited altogether. For example, it may allow assignment in the event of a merger or sale of the business, but otherwise restrict transfers to protect the interests of the non-assigning party. The core function of this clause is to control and clarify the transferability of contractual rights and duties, thereby preventing unwanted or unexpected changes in the parties involved.
