8No Third-Party Beneficiaries Clause Samples

8No Third-Party Beneficiaries. The Placement Agent shall be the third party beneficiary of the representations and warranties of the Company in Section 3.1 and the representations and warranties of the Purchasers in Section 3.2. This Agreement is intended for the benefit of the parties hereto and their respective successors and permitted assigns and is not for the benefit of, nor may any provision hereof be enforced by, any other Person, except as otherwise set forth in Section 4.8 and this Section 5.8.

8No Third-Party Beneficiaries. This Voting Agreement is for the sole benefit of, shall be binding upon, and may be enforced solely by, Pixium and Stockholder and nothing in this Voting Agreement, express or implied, is intended to or shall confer upon any Person (other than Pixium and Stockholder) any legal or equitable right, benefit or remedy of any nature whatsoever; provided, that the Company shall be a third party beneficiary of this Voting Agreement and shall be entitled to enforce any power, right, privilege or remedy of Pixium hereunder.

8No Third-Party Beneficiaries. This Agreement is for the sole benefit of Assignor and Assignee and their permitted successors and assigns and nothing herein expressed or implied shall give or be construed to give to any Person, other than the parties hereto and such successors and assigns, any legal or equitable rights hereunder.

8No Third-Party Beneficiaries. The parties hereto intend that this Agreement will not benefit or create any right or cause of action in favour of, any Person, other than the parties hereto. No Person, other than the parties to this Agreement, is entitled to rely on the provisions of this Agreement in any action, suit, proceeding, hearing or other forum.

8No Third-Party Beneficiaries. Nothing in this Agreement shall confer any rights, remedies or claims of any nature upon any Person other than the parties hereto and their respective successors or permitted assigns, except for the rights of: (a) the D&O Indemnitees as set forth Section 7.6; (b) the Other Indemnitors in Section 7.6(b); (c) Weil as set forth in Section 11.9; (d) the Non-Parties as set forth in Section 11.10; and (e) the Released Parties and the Seller Released Parties as set forth in Section 11.12. All of the Persons identified as third-party beneficiaries in the immediately preceding sentence shall be entitled to enforce such provisions and to avail themselves of the benefits of any remedy for any breach of such provisions, all to the same extent as if such Persons were parties to this Agreement.
