4Survival Clause Samples

4Survival. The rights and obligations contained in Sections 3-6, 8-9, 12, 14.3, 14.4, and 15-21 will survive any termination or expiration of this Agreement.

4Survival. The obligations of Lessor and Lessee contained in this Section shall survive the expiration or earlier termination of this Lease.

4Survival. The respective rights and obligations set forth in the previous Articles and any other provisions required to interpret and enforce the Parties’ rights and obligations under this Agreement shall indefinitely survive the expiration or termination of this Agreement to the extent expressly set forth therein or if no survival term is expressly set forth therein to the extent necessary to preserve these rights and obligations.

4Survival. The provisions in this Section 7 (Confidentiality and Publication) shall survive the expiration or the termination of this Agreement for a period of [***] years thereafter, except that with respect to trade secrets, such provisions and obligations shall survive for as long as the trade secrets remain secret.

4Survival. Termination or expiration of this Agreement will not relieve either party of its obligations or liabilities for breaches of this Agreement incurred prior to or in connection with such termination or expiration. Article I ("Definitions"), Section 2.6 ("Alternate Manufacturing Facility"), Section 4.7 ("Recall or Seizure"), Section 6.3 ("Effect of Termination or Expiration"), this Section 6.4 ("Survival"), Article VII ("Representations and Warranties"), Article VIII ("Liability"), Article IX ("Indemnification"), Article X ("Insurance"), Article XI ("Confidentiality; Intellectual Property") and Article XII ("Miscellaneous") will survive any termination or expiration of this Agreement.

4Survival. The following provisions shall survive expiration and/or termination of this Agreement: Article 1, Section 2.2, Section 2.3, Article 4, Article 5, Article 6, Article 7, Article 8, Article 9, Article 10, and Article 11. Except as expressly provided, expiration or termination of this Agreement shall not release either Party from any liability or obligation that had already accrued as of the effective date of expiration or termination, and the expiration or termination shall not constitute a waiver or release of, or otherwise be deemed to prejudice or adversely affect, any of a Party’s rights, remedies or claims, whether for damages, injunctive relief, or otherwise, which a Party may have hereunder at law, in equity or otherwise or which may arise out of or in connection with such termination. 6Proprietary Rights.

4Survival. The rights and obligations of each party pursuant to this clause 11 survive the expiry or termination of the Contract.

4Survival. The representations, warranties and covenants of the Sellers contained in this Agreement shall survive the Closing indefinitely.

4Survival. Notwithstanding anything to the contrary herein, all provisions of this Agreement relating to accrued payment obligations, indemnification, limitation of liability, and dispute resolution, including, without limitation, Sections 3.2 and 3.3, and Articles 1, 8, 9, 10, 11, 13, 14, 15, 17 and 18 will survive any expiration or termination of this Agreement.
