4Interpretation. Unless otherwise indicated to the contrary herein by context or use hereof: (a) the words “include”, “includes” and “including” when used in this BTA Germany, shall be deemed to be followed by the phrase “without limitation”, (b) the words “hereby”, “herewith”, “herein”, “hereto”, “hereof” and words of similar import refer to this BTA Germany as a whole and not to any particular section or paragraph hereof, (c) masculine gender shall also include the feminine and neutral genders, and vice versa, (d) words importing the singular shall also include the plural, and vice versa, (e) “writing”, “written” and comparable terms refer to printing, typing and other means of reproducing words, including electronic media, in a visible form, (f) all references to “days” mean calendar days and all references to “time” mean Japan Standard Time, (g) the term “or” shall not be deemed to be exclusive, (h) when a reference is made in this BTA Germany to an Article, Section, Schedule, such reference is to an Article or Section of, or a Schedule to, this BTA Germany unless otherwise indicated, (i) the headings for this BTA Germany are for reference purposes only and do not affect in any way the meaning or interpretation of this BTA Germany, (j) any applicable Law defined or referred to herein or in any agreement or instrument that is referred to herein means such applicable Law as from time to time amended, modified or supplemented, including by succession of comparable successor applicable Laws, and (k) unless otherwise specified, each reference to any contract shall be to such contract as amended, supplemented, waived or otherwise modified from time to time.

4Interpretation. Article titles and section headings contained herein are inserted for convenience of reference only and are not intended to be a part of or to affect the meaning or interpretation of this Agreement.

4Interpretation. For the purposes of interpretation: words in the singular include the plural and vice-versa; words in one gender include all genders; the headings do not form part of the Agreement; they are for reference only and will not affect the interpretation of the Agreement; and “include”, “includes” and “including” denote that the subsequent list is not exhaustive.

4Interpretation. For purposes of this Agreement: (i) the words “include,” “includes” and “including” shall be deemed to be followed by the words “without limitation”, (ii) the word “or” is not exclusive, and (iii) the words “herein,” “hereof,” “hereby,” “hereto” and “hereunder” refer to this Agreement as a whole. Unless the context otherwise requires, references herein: (i) to Articles and Sections mean the Articles and Sections of this Agreement, (ii) to Schedules mean the Schedules attached to the Disclosure Schedules, (iii) to an agreement, instrument or other document means such agreement, instrument or other document as amended, supplemented and modified from time to time to the extent permitted by the provisions thereof, and (iv) to a statute means such statute as amended from time to time and includes any successor legislation thereto and any regulations promulgated thereunder. This Agreement shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted.

4Interpretation. Unless otherwise provided, when used in this Agreement: (a) all references to an “Appendix” or “Exhibit” are to Exhibits or Appendixes attached to this Agreement, each of which is an integral part of this Agreement and made a part of this Agreement for all purposes; (b) references to any gender include all others if applicable in the context; (c) terms defined in the singular shall have the corresponding meaning when used in the plural and vice versa; (d) all uses of “include” or “including” mean “without limitation”;

4Interpretation. The division of this Agreement into Sections, Subsections, Appendices and Schedules, and the insertion of headings, are for convenience of reference only and will not affect the interpretation of this Agreement. Unless otherwise indicated, any reference in this Agreement to a Section, Appendix or Schedule refers to the specified Section, Appendix or Schedule to this Agreement. In this Agreement, the term “this Agreement” and similar expressions refer to this Agreement as a whole and not to any particular part, Section, Appendix or Schedule of this Agreement. Except as otherwise expressly stated or unless the context otherwise requires, all references to the singular will include the plural and vice versa. This Agreement and each Product Agreement entered into hereunder is an agreement for the provision of Manufacturing Services and not an agreement for the purchase and sale of goods. References to purchases, orders and prices of Product in this Agreement are to purchases, orders and prices of the Manufacturing Services related to Product provided for hereunder. Without limitation on the provisions of Section 13.1 (Insurance), title to all API and Client-Supplied Components will remain vested in Client while these items are in the possession and control of Patheon, title to all inventories of Product (including work in progress) manufactured by Patheon will vest in Client from their creation, and title to all Components sourced by Patheon and held for manufacture of Product will transfer to Client upon their incorporation into Product or, if earlier, Client’s reimbursement of Patheon’s procurement cost as provided in Section 5.2(b).

4Interpretation. The headings of clauses contained in this Supply Agreement preceding the text of the sections, subsections, and paragraphs hereof are inserted solely for convenience and ease of reference only and shall not constitute any part of this Supply Agreement, or have any effect on its interpretation or construction. All references in this Supply Agreement to the singular shall include the plural where applicable. Unless otherwise specified, references in this Supply Agreement to any Article shall include all Sections, subsections, and paragraphs in such Article, references to any Section shall include all subsections and paragraphs in such Section, and references in this Supply Agreement to any subsection shall include all paragraphs in such subsection. The word “including” and similar words means including without limitation. The word “or” means “and/or” unless the context dictates otherwise because the subjects of the conjunction are, or are intended to be, mutually exclusive. The words “herein”, “hereof”, and “hereunder” and other words of similar import refer to this Supply Agreement as a whole and not to any particular Section or other subdivision. All references to days in this Supply Agreement mean calendar days, unless otherwise specified. Ambiguities and uncertainties in this Supply Agreement, if any, shall not be interpreted against either Party, irrespective of which Party may be deemed to have caused the ambiguity or uncertainty to exist. This ​ Supply Agreement has been prepared in the English language and the English language shall control its interpretation. In addition, all notices required or permitted to be given hereunder, and all written, electronic, oral, or other communications between the Parties regarding this Supply Agreement shall be in the English language.
