Valid Election definition

Valid Election means, with respect to any Nominee, an irrevocable election to receive all or a portion of its Allocated Share in the form of OP Units or REIT Shares as indicated on the properly completed and timely received Consent Form of the Nominee or a Consent Form as to which any deficiencies have been waived by the REIT.
Valid Election means, with respect to any SPE LLC Interest, an irrevocable election to receive all or a portion of its Allocated Share in the form of OP Units and/or REIT Shares as indicated on the properly completed and timely received Consent Form of the holder of such SPE LLC Interest, as applicable, or a Consent Form as to which any deficiencies have been waived by the REIT.
Valid Election means, with respect to any Contributor in respect of its Contributed Interest, an irrevocable election to receive its Contribution Consideration in the form of cash or OP Units as indicated on the properly completed and timely received Election Form of the Contributor or an Election Form as to which any deficiencies have been waived by the REIT. In no event shall a Contributor be entitled to receive Contribution Consideration in excess of the number of REIT Shares to which it is entitled as Contribution Consideration, with each OP Unit being treated as a REIT Share and the amount of cash being treated as a number of REIT Shares equal to such amount of such cash divided by the IPO Price.

Examples of Valid Election in a sentence

  • To make a Valid Election, a Settlement Class Member must submit a properly completed claim form by the Court-approved deadline that includes, among other information, the name, address, email address, and unique Customer ID or Pass ID associated with their Ikon pass holder account.

  • Unless a Settlement Class Member submits a Valid Election for a Lift Product Voucher in lieu of a Pass Credit, the appropriate Pass Credit amount will automatically be applied to each Settlement Class Member’s Ikon pass holder profile without any requirement to fill out a claim form or take any other affirmative action.

  • If a Settlement Class Member submits a Claim Form and makes a Valid Election (in lieu of a Pass Credit), the Lift Product Voucher will be applied to the individual Ikon pass holder profile and placed in the account of the primary pass holder associated with the Settlement Class Member’s profile as of the date of disbursement of the Lift Product Voucher.

  • If a Settlement Class Member submits a Claim Form and makes a Valid Election (in lieu of a Pass Credit), the Lift Product Voucher will be applied to the individual Ikon pass holder profile and placed in the account of the primary pass holder associated with the Class Member’s profile as of the date of disbursement of the Lift Product Voucher.


More Definitions of Valid Election

Valid Election means, with respect to any RESI Equity Interest, an irrevocable election to receive all or a portion of the Merger Consideration in the form of cash, or OP Units or REIT Shares as indicated on the properly completed and timely received Election Form of the holder of such RESI Equity Interest or an Election Form as to which any deficiencies have been waived by the REIT. In no event shall a holder of any RESI Equity Interest be entitled to receive Merger Consideration in excess of the number of REIT Shares to which it is entitled as Merger Consideration, with each OP Unit being treated as a REIT Share and the amount of cash being treated as a number of REIT Shares equal to such amount of such cash divided by the IPO Price.
Valid Election means an election timely made and delivered in accordance with the instructions provided on the DEFERRED COMPENSATION (409A) ELECTION FORM, a copy of which is attached hereto as Exhibit A.
Valid Election means, with respect to any RIF V Fund Interest, an irrevocable election to receive all or a portion of its Allocated Share in the form of OP Units and/or REIT Shares as indicated on the properly completed and timely received Consent Form of the holder of the RIF V Fund Interest or a Consent Form as to which any deficiencies have been waived by the Operating Partnership.
