Developer is strictly prohibited from pledging or encumbering the Developer’s Interest, or any portion thereof, to secure any indebtedness of any Person other than (a) Developer, (b) any special purpose entity that owns Developer but no other assets and has powers limited to the Facility and Work, (c) a special purpose entity subsidiary owned by Developer or an entity described in clause (b) above, or (d) the PABs Issuer.
Seller shall not give any Foreign Person (including Seller's own non-U.S. employees or affiliates) access to Technical Data, software or Defense Articles, or provide an unauthorized Defense Service as those terms are defined in the applicable Export Laws and Regulations without the prior written consent of Buyer.
The Person winding up affairs of the Joint Venture shall be entitled to reasonable compensation for such services.
Each Party shall reimburse the other for the reasonable out-of-pocket costs and expenses (including reasonable legal fees and expenses) incurred in connection with such other Party’s review, negotiation, execution and delivery of any instruments, agreements or documents that may be necessary or appropriate in connection with any assignment or consent (including any consent for the benefit of any Lender of Seller) requested by a Party, its lender or any other Person providing financing to such Party.
No Person shall have the right to demand and receive property other than cash in return for its Capital Contributions.
