Notwithstanding the foregoing provisions of this Section 13.7.1, in the event that at any time subsequent to the Effective Date the receipt of such payments by Manitoba Hydro becomes subject to taxation, or any amount in lieu thereof, Generator shall protect, indemnify and hold harmless Manitoba Hydro and its affiliated and associated companies, from all claims by any Governmental Authority for any tax, amount in lieu thereof, interest and/or penalties.
That it has sought or obtained, or, in accordance with this Agreement will seek or obtain, each consent, approval, authorization or order of, or acceptance of a filing with, or notice to, any Governmental Authority with jurisdiction concerning this Agreement, in connection with the execution, delivery and performance of this Agreement.
If a Party is exempt from any Tax or any other charges of any Governmental Authority that would otherwise be payable under or in connection with this Agreement, such Party shall provide to the other Party upon request a certificate of exemption or other reasonably satisfactory evidence of exemption.
Nothing herein shall obligate or cause a Party to pay or be liable to pay any Tax or other charge of any Governmental Authority for which it is exempt under applicable Law.
To the extent that either Party may be called upon by any Governmental Authority to do so, each Party shall support and defend the effectiveness of this Agreement before such Governmental Authority when the substance, validity or enforceability of all or any part of this Agreement is challenged or called into question before such Governmental Authority.
