Joint Lead Arranger means each of JPMorgan, Citibank, N.A., BofA Securities, Inc., Xxxxx Fargo Securities, LLC, Mizuho Bank, Ltd., MUFG Bank, Ltd., RBC Capital Markets, LLC, Bank of Montreal, Truist Bank, and PNC Bank, National Association and, collectively, the “Joint Lead Arrangers.”

• Subject to 8.1(15)(a)(ix), make or permit to be made by or on behalf of itself or any of its Subsidiaries any press release or other public announcement which mentions the Agent, any Joint Lead Arranger or any Lender without the Agent’s, such Joint Lead Arranger’s or such Lender’s, as applicable, prior written consent and approval of such press release or public announcement, which written consent and approval shall not be unreasonably withheld or delayed, except as required by Applicable Law.

• Neither Syndication Agent nor any Person identified on the cover page of this Agreement as a Joint Lead Arranger and Joint Bookrunner shall have any right, power, obligation, liability, responsibility or duty hereunder in its capacity as such.

• None of the Administrative Agent, any Joint Lead Arranger, any LC Issuer, the Swingline Lender or any Lender shall have any fiduciary responsibilities to the Borrower.

• Each Lender also acknowledges that it will, independently and without reliance upon the Administrative Agent, any Joint Lead Arranger or any other Lender and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement and the other Loan Documents.

• The Borrower agrees to pay to the Administrative Agent and each Joint Lead Arranger, for their accounts, the fees agreed to by the Borrower, the Administrative Agent and/or such Joint Lead Arrangers pursuant to the Fee Letters.

Joint Lead Arranger means each of X.X. Xxxxxx Securities LLC, Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated or its Affiliate and Xxxxx Fargo Securities, LLC in their respective capacities as joint lead arranger, and their respective successors in such capacity.

Joint Lead Arranger means Xxxxx Fargo Securities, LLC, Barclays Bank PLC, Citibank, N.A. and SunTrust Xxxxxxxx Xxxxxxxx, Inc., as joint lead arrangers.

Joint Lead Arranger means each of BAS, Xxxxx Fargo Securities, LLC, and HSBC, in each case, in its capacity as a joint lead arranger and a joint book manager, collectively, the “Joint Lead Arrangers.”

Joint Lead Arranger means ABN AMRO Capital USA LLC, The Bank of Nova Scotia, The Bank of Tokyo-Mitsubishi UFJ, LTD., HSBC Bank USA, National Association, ING Capital LLC, Xxxxxx Xxxxxxx Bank, N.A., Société Générale and Sumitomo Mitsui Banking Corporation, in each case, not in its individual capacity, but as joint lead arranger hereunder and any successors and permitted assigns.

Joint Lead Arranger means each of Chase Securities Inc., Lehmxx Xxxthers Inc. and Merrxxx Xxxcx & Xo., each in its capacity as a joint lead arranger of the credit facilities evidenced by this Agreement and the Facility A Credit Agreement.
