Right to Verify. The Settlement Administrator shall review all submitted Claim Forms and supporting documentation for completeness, validity, accuracy, and timeliness and may contact any claimant to request additional information and/or documentation to determine the validity of any Claim. In addition, the Settlement Administrator may verify that: (i) the information set forth in or attached to a submitted Claim Form is accurate; and (ii) based on the information set forth in or attached to a submitted Claims Form that the Claimant is a Settlement Class Member.

Right to Verify. The Claims Administrator and/or Defendants may review all submitted Claim Forms and proof of Qualifying Purchase(s) for completeness, validity, accuracy, and timeliness, and may contact any Claimant, through the Claims Administrator, to request additional information and/or documentation to determine the validity of any claim. In addition, the Claims Administrator and/or Defendants may verify that: (1) the information set forth in or attached to a submitted Claim Form is accurate; and (2) the Claimant is a Class Member.

In addition, the Claims Administrator and/or TCP may verify that: [i] the information set forth in or attached to a submitted Claim Form is accurate; and [ii] the Claimant is a Class Member.
Right to Verify. The Claims Administrator will review all submitted Claim Forms for completeness, validity, accuracy, and timeliness, and may contact any Claimant to request any missing information required on the Claim Form. The Claims Administrator will determine the validity of any claim, and as part of that determination, verify that, according to EMI’s records, the information set forth in a submitted Claim Form is accurate and that the Claimant is a Class Member and is eligible to receive a Settlement Payment. The Claims Administrator may also contact Defendants to determine whether a Claimant is a Class Member and is eligible to receive a Settlement Payment. Defendants are also entitled, at their option, to review submitted Claim Forms.
Right to Verify. 7.1 VUZIX will have the right to verify the unit sales of Products, royalty amounts (if applicable under Section 5), and the protection of Intellectual Property, and RESELLER will promptly provide VUZIX with such accurate and complete information upon request: RESELLER shall provide VUZIX the right to periodically have an independent third party perform an audit, but not more than once annually, of the books and records of RESELLER to verify the accuracy and correctness of the royalty payments to VUZIX under a standard non-disclosure agreement. RESELLER agrees that it will provide reasonable access to its facilities and personnel for purposes of verifying compliance In the event it is determined as a result of such audit that RESELLER has underpaid or under-reported royalty payments due to VUZIX by more than five percent (5%) in any period, RESELLER will be required to reimburse VUZIX immediately for the costs of the audit, all unpaid and overdue Royalty payments, plus pay accrued interest of 1.5% per month, and a fifty percent (50%) penalty on any such unpaid royalties. In the event royalty payments have been intentionally or negligently underpaid by 10% of more, RESELLER will be deemed to have made a material breach of this Agreement and Vuzix may in addition to other remedies recover the amounts together with a fifty percent (50%) penalty and interest at the rate of 1.5% per month and may terminate this Agreement pursuant to the provisions of Section 11.6.

Right to Verify. The Parties reserve the right to independently verify any and all information that any Settlement Class member or AOL provides on a Claim Form or in a Claim Letter, Response Letter, or Reply Letter, including to ensure consistency with AOL’s records. The Arbitrator shall resolve any such issues raised, and his determination shall be final and binding, with no appeal. AOL or the Settlement Class member shall bear its own verification costs, except that, if AOL makes any representation as to the contents of its records, it shall make a copy of those records available to the relevant class member at no cost.

Xxxxx Lauren and/or the Claims Administrator also may review any Merchandise Certificate presented at a Factory Store located in the State of California to determine that the Merchandise Certificate is valid and has not expired and to prevent the use of duplicate, counterfeit and fraudulent Merchandise Certificates. Xxxxx Xxxxxx and/or the Claims Administrator reserve the right to decline any Merchandise Certificate that Xxxxx Lauren and/or the Claims Administrator believes is invalid, has expired, is a duplicate, is counterfeit or is fraudulent. In the event that a Merchandise Certificate presented at a Factory Store is declined and a presenting party disputes the decision, Xxxxx Xxxxxx, or if the Claims Administrator declined the Merchandise Certificate, the Claims Administrator, will meet in good faith in an attempt to resolve the dispute.

EACH OF THE PARTIES HERETO HEREBY AGREES TO THE JURISDICTION OF THE COURTS OF THE STATE OF NEW YORK, LOCATED IN THE BOROUGH OF MANHATTAN AND THE FEDERAL COURTS LOCATED WITHIN THE STATE OF NEW YORK IN THE BOROUGH OF MANHATTAN. EACH OF THE PARTIES HERETO HEREBY WAIVES ANY OBJECTION BASED ON FORUM NON CONVENIENS, AND ANY OBJECTION TO VENUE OF ANY ACTION INSTITUTED HEREUNDER OR UNDER THE THIRD STEP RECEIVABLES ASSIGNMENT IN ANY OF THE AFOREMENTIONED COURTS AND CONSENTS TO THE GRANTING OF SUCH LEGAL OR EQUITABLE RELIEF AS IS DEEMED APPROPRIATE BY SUCH COURT.

  • Submission to Jurisdiction Each party submits to the nonexclusive jurisdiction of the United States District Court for the Southern District of New York and of any New York State Court sitting in New York, New York for legal proceedings relating to this Agreement. Each party irrevocably waives, to the fullest extent permitted by law, any objection that it may now or in the future have to the venue of a proceeding brought in such a court and any claim that the proceeding was brought in an inconvenient forum.
