Uniform Terms and Conditions. These foregoing Uniform Terms and Conditions of this Quotation / Proposal / Order Agreement (“Agreement”) shall govern and will apply without exception, to this Agreement and any and all sales by Seller to the Buyer named herein. By its execution and/or acceptance of this Agreement Buyer unconditionally and irrevocably accepts these Terms and Conditions which shall not be waived, modified or amended without the express written consent of Seller’s President. Terms and Conditions contained within any other document or agreement issued by Buyer, whether conflicting with the Terms and Conditions hereof or not, shall be of no force or effect. Any documents that Buyer may use including, but not limited to, purchase orders or sales acknowledgement forms shall be shall be deemed to be for the administrative convenience of the Buyer only. TERMS AND CONDITIONS The Terms and Conditions governing this Quotation / Proposal / Order Agreement are those contained in the section entitled "Uniform Terms and Conditions", and in addition, if the Buyer is an authorized Canam Steel Building Corporation Builder, those contained within in the “Canam Steel Building Corporation Builder Agreement”, all of which are specifically referred to and incorporated herein by this reference. The parties hereto acknowledge and agree that Canam Steel Building Corporation is only required to furnish materials and services in accordance with this Quotation / Proposal / Order Agreement and the referenced terms and conditions as noted here above and on the preceding pages. ♦ Delivery Calculated: EXW Loaded. It is the experience of TIPS that the following procedures provide TIPS, the Vendor, and the participating agency the necessary support to facilitate a mutually beneficial relationship. All rights and obligations shall survive final performance of this Agreement.
