Service Provider Subcontractors. 6.1 Service Provider acknowledges and agrees that, without limitation, the confidentiality, privacy and security requirements contained in this DPA also apply to any permitted Service Provider Subcontractors, temporary employees or other third parties who receive any Personal Data as a result of the Agreement. Service Provider shall only enter into sub-contract agreements that include data protection provisions no less restrictive than the provisions set forth in this DPA. Upon written request by Customer, copies of such sub-contracts shall be provided to Customer within seven (7) business days. Customer will be granted (a) the right to monitor and inspect the Service Provider Subcontractors upon reasonable notice; and (b) the right to obtain information from Service Provider about the substance of the sub-contract and the implementation of the data protection obligations within the sub-contract relationship, upon written request.

Service Provider Subcontractors. Service Provider may not subcontract any of the Services without Company’s prior written Consent, provided, however the subcontractors listed on Schedule 5.7 hereto are pre-approved subcontractors for the purposes of this Section 5.7 and that Service Provider may utilize an Affiliate to provide the Services. Service Provider may also retain a Third Party in certain circumstances to perform Services as set forth in Section 17.1(b). The following shall apply to any permitted subcontractor relationship hereunder:
Service Provider Subcontractors. Service Provider agrees that it will not enter into agreements with its subcontractors that are providing the Services that contain provisions that would expressly preclude such subcontractors from (x) working with or for WG or any of its Affiliates after the termination or expiration of the applicable Work Agreements, or (y) providing services that are not the same as or substantially similar to the Services, whether during or after the Term.
Service Provider Subcontractors. Dealer acknowledges and agrees that PIN is entitled to retain and authorize reputable data matching, data extraction and other third parties (“Service Provider Subcontractors”) to help deliver the PIN Services, such as those retained to extract Dealer Data from Dealer’s systems and to implement the matching of transaction specific identifiers (e.g., name, address and/or other personally identifiable information), with other information databases, including third party databases, solely for the purpose of creating a matched data set that solely includes blind or aggregate data (i.e., with no personally identifiable information).   • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses.   • Third Party Contractors Tenant shall obtain and deliver to Landlord, Third Party Contractor’s certificates of insurance and applicable endorsements at least seven (7) business days prior to the commencement of work in or about the Premises by any vendor or any other third-party contractor (collectively, a “Third Party Contractor”). All such insurance shall (a) name Landlord as an additional insured under such party’s liability policies as required by Section 10.3.1 above and this Section 10.6, (b) provide a waiver of subrogation in favor of Landlord under such Third Party Contractor’s commercial general liability insurance, (c) be primary and any insurance carried by Landlord shall be excess and non-contributing, and (d) comply with Landlord’s minimum insurance requirements.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers.   • Third Party Service Providers Unless otherwise prohibited by Apple in the Documentation or this Agreement, You are permitted to employ or retain a third party (“Service Provider”) to assist You in using the Apple Software and Services provided pursuant to this Agreement, including, but not limited to, engaging any such Service Provider to maintain and administer Your Applications’ servers on Your behalf, provided that any such Service Provider’s use of the Apple Software and Services or any materials associated therewith is done solely on Your behalf and only in accordance with these terms. Notwithstanding the foregoing, You may not use a Service Provider to submit an Application to the App Store or use TestFlight on Your behalf. You agree to have a binding written agreement with Your Service Provider with terms at least as restrictive and protective of Apple as those set forth herein. Any actions undertaken by any such Service Provider in relation to Your Applications or use of the Apple Software or Apple Services and/or arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to the Service Provider) shall be responsible to Apple for all such actions (or any inactions). In the event of any actions or inactions by the Service Provider that would constitute a violation of this Agreement or otherwise cause any harm, Apple reserves the right to require You to cease using such Service Provider.

  • Sub-contractors Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.

  • Third Party Vendors Nothing herein shall impose any duty upon DST in connection with or make DST liable for the actions or omissions to act of the following types of unaffiliated third parties: (a) courier and mail services including but not limited to Airborne Services, Federal Express, UPS and the U.S. Mails, (b) telecommunications companies including but not limited to AT&T, Sprint, MCI and other delivery, telecommunications and other such companies not under the party’s reasonable control, and (c) third parties not under the party’s reasonable control or subcontract relationship providing services to the financial industry generally, such as, by way of example and not limitation, the National Securities Clearing Corporation (processing and settlement services), Fund custodian banks (custody and fund accounting services) and administrators (blue sky and Fund administration services), and national database providers such as Choice Point, Acxiom, TransUnion or Lexis/Nexis and any replacements thereof or similar entities, provided, if DST selected such company, DST shall have exercised due care in selecting the same. Such third party vendors shall not be deemed, and are not, subcontractors for purposes of this Agreement.
