Permitted Users. Client may access and use only the Course Materials to which Client has subscribed, and such access and use is limited to the number of users identified in the Order Form and any subsequent Orders placed under an Order Form, and for the Contract Term. Orders for additional Subscriptions may be agreed by the parties from time to time under a particular Order Form, and shall set forth the number of additional Subscriptions, the total Subscription Fees payable therefore, and any other terms and conditions relating to such Order (each, an “Order”). Each Order Form and each Order, upon execution by both parties, shall form a part of this Agreement, and shall be subject to all of the terms and conditions hereof. An Order may take the form of a supplementary document signed by each party or acknowledged by each party electronically (whether by facsimile transmission, email or by other similar reliable means evidencing the intent of the parties). Each Order shall be subject to the terms of this Agreement and shall be incorporated herein by reference. A Subscription is limited to use by one individual user and may not be transferred to another user.
Permitted Users. The IP granted hereunder shall only be used by Customer in accordance with the License grant as indicated in the Order. The IP may only be used for internal business needs of Customer and by Customer’s authorized affiliates, employees, consultants, and agents who have a need to access and use the IP. Customer will not, nor allow any third party to, lease, lend, use the IP for services purposes for the benefit of a third party, except as authorized in writing by Xxxxx.

Permitted Users. You will ensure that all of your Permitted Users agree to the terms of this SSA and have been notified of how Fluke collects, uses, and shares personal data, as described in the Fluke Privacy Notice before providing your Permitted Users with access to the Licensed Services. All references to “you” or “your” in this SSA shall also be construed to refer to your Permitted Users. You are responsible for (a) identifying and authenticating all Permitted Users; (b) approving access by such Permitted Users to the Licensed Services; (c) ensuring Permitted Users’ compliance with this SSA; (d) controlling against unauthorized access or use by Permitted Users; (e) maintaining the confidentiality of user names, passwords and account information; and (f) providing or obtaining any necessary notifications or consents from Permitted Users as required by applicable law, including for any features of OneCal enabled devices and tools (“Tools”). Fluke is not responsible for any harm caused by your Permitted Users, including individuals who were not authorized to have access to the Licensed Services but who were able to gain access because user names, passwords or accounts were not terminated on a timely basis in your local identity management infrastructure, your local computers, or otherwise by you or on your behalf. You are responsible for all activities that occur under or in connection with your and your Permitted Users’ user names, passwords or accounts (except as a result of Fluke’s breach of this SSA) or as a result of your or your Permitted Users’ access to the Licensed Services and Content, and agree to notify Fluke immediately in writing of any unauthorized use. You agree to make every reasonable effort to prevent unauthorized third parties from accessing the Licensed Services and Content.
Permitted Users. Provided that Tenant is not in default under this Lease beyond applicable notice and cure periods, Tenant shall have the right to permit the Premises to be used by one or more of Tenant’s service providers only for the provision of services to Tenant and its Representatives without the prior consent of Landlord, provided that in no event shall the total space used by such party (referred to herein as the “Permitted User”) exceed ten percent (10%) of the Premises and further provided that Tenant does not separately demise such space. Tenant shall provide Landlord with the name of each Permitted User at least ten (10) days prior to the date on which such Permitted User occupies a portion of the Premises. All notices required of Landlord under this Lease shall be forwarded only to Tenant in accordance with the terms of this Lease and in no event shall Landlord be required to send any notices to any Permitted User. A violation of any of the foregoing by any Permitted User which is not cured within the applicable cure period shall be considered to be an Event of Default by Tenant hereunder. In addition, Txxxxx’s indemnification obligations pursuant to Section 10 shall apply to the acts and omissions of any Permitted User and to any use of the Premises or the Project by the Permitted User. Tenant hereby agrees to cause any insurance to be maintained by Tenant under the Lease to be extended to cover the acts and omissions of the Permitted User (including such Permitted User’s agent, employees, contractors, customers and invitees) while in the Premises and/or the Project. In no event shall the occupancy of any portion of the Premises by a Permitted User be deemed to create a landlord/tenant relationship between Landlord and such Permitted User, and, in all instances, Tenant shall be considered the sole tenant under the Lease notwithstanding the occupancy of any portion of the Premises by the Permitted User. Permitted Users. School Bands are permitted only for use by non-profit Educational Institutions or other non-profit entities. This Addendum shall not apply to Educational Institutions which are for-profit or which do not provide educational services.

Member and its Permitted Users are responsible for maintaining the confidentiality of all user identification numbers and/or passwords and for ensuring that each user identification number and/or password is used only by the Permitted User to which it was issued. Member shall be solely responsible for the Permitted Users’ compliance with this Agreement, and for any and all activities that occur under Member’s account. Member will restrict Permitted Users from sharing passwords. Member will immediately notify ANet of any unauthorized use of Member’s account or any user identification number and/or password, or any other breach of security known to Member. Member will ensure that it has obtained any necessary and appropriate consents from students to establish student accounts for access to the Platform. ANet will have no liability for any loss or damage arising from Member’s failure to comply with the terms set forth in this Section.

The Software may be accessed solely by Customer's employees or the employees of Customer's distributors, resellers, vendors, partners or other service providers who are explicitly authorized by Customer to access and use the Software (each, a “User”). Customer will ensure that the Users comply with the terms of this Agreement and shall be fully responsible for any breach of this Agreement by a User.
