Employee of the Business definition

Employee of the Business means each employee of Seller and the Selling Affiliates (a) who as of the Applicable Closing Date spends at least 50% of his or her work time in the operation of the Business, (b) whose employment will transfer to Buyer or one of its Affiliates on the Applicable Closing Date by operation of applicable Law or (c) who is set forth on Schedule 1.01(e), including in all cases, each such employee who as of the Applicable Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability) or vacation; provided, that any individual set forth on Schedule 1.01(f) shall not be an “Employee of the Business”.
Employee of the Business means each employee of Fox and its Subsidiaries (a) who, as of the Closing, is employed primarily in connection with the Business, or (b) whose employment will transfer to Buyer or one of its Affiliates on the Closing Date by operation of applicable Law or pursuant to the transfer of the Transferred Equity Interests to Buyer, including in all cases, each such employee who as of the Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave, short-term disability and, solely with respect to clause (b), long-term disability) or vacation.
Employee of the Business means each employee of Seller or its Affiliates who is set forth on Schedule 1.01(b) to the Disclosure Letter (as such schedule may be updated in accordance with this Agreement), including each such employee who, as of the Closing Date (or, with respect to Deferred Employees, the applicable Deferred Closing Date) is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability or vacation).”

  • Insured Person Any principal, partner, proprietor, director or Employee of the Business resident in Great Britain, Northern Ireland, the Channel Islands or the Isle of Man as shown in the Schedule with one of the following Employee Types Clerical Manual (excluding Bona Fide or Labour Only Sub-Contractors) Woodworking Collection and Delivery.

  • Bodily Injury to Working PartnersAny working partner named as an Insured Person in the Schedule shall be regarded as an Employee but only in respect of Bodily Injury for which a partner or Employee of the Business is legally liable.

  • With respect to each such material Benefit Plan or Assumed Benefit Plan, Seller has made available to Purchaser complete copies of such Benefit Plan (or, in the case of any unwritten Benefit Plans, written descriptions thereof), including any amendments thereto; provided that, in the case of any such Benefit Plan that is an agreement to which an Employee of the Business is a party, Seller may instead make available a form or sample of such agreement.

More Definitions of Employee of the Business

Employee of the Business has the meaning set forth in Section 4.17.
Employee of the Business means an employee of the Acquired Company or any member of the Seller Group or one of their respective Subsidiaries that is employed in the Business and is included in the list provided pursuant to Section 3.14(a), including any employee deemed to be an “Employee of the Business” pursuant to Section 5.11(b) or the last sentence of Section 10.10(a)).
Employee of the Business means each employee of Seller and the Selling Affiliates (i) who on the Applicable Closing Date spends at least 50% of his or her work time in the operation of the Business, (ii) whose employment will transfer to Buyer or one of its Affiliates on the Applicable Closing Date by operation of applicable Law or (iii) who is an individual set forth on Section 1.01(b) of the Disclosure Letter, including in all cases, each such employee who as of the Applicable Closing Date is on leave of absence (including medical leave, military leave, workers compensation leave and short-term or long-term disability) or vacation; provided that such employee returns to work within 180 days after the Applicable Closing Date or is otherwise entitled to reinstatement under any applicable Law upon presenting themselves for duty to the Business; provided, further, that any individual set forth on Section 1.01(c) of the Disclosure Letter shall not be an “Employee of the Business”. For the avoidance of doubt, the Closing Date applicable to each such employee shall be the Closing Date applicable to the Country Unit in which such employee is primarily employed.

Employee of the Business means each employee of Seller or its Affiliates listed on Section 9.06(b)(iii) of the Seller Disclosure Letter, identified by identification number and job title, as it may be amended from time to time in accordance with this Agreement, which represents those employees whose primary duties (i) immediately prior to the date of this Agreement have been dedicated to the Business, (ii) as of their last date actively at work prior to commencing (A) maternity or paternity leave, educational leave, short-term disability leave, military leave with veterans’ reemployment rights under federal law, leave under the Family and Medical Leave Act of 1993, or any other approved leave of absence (other than long-term disability leave) or (B) long-term disability leave solely in the case of union represented employees who are receiving benefits under a long-term disability plan maintained by the Seller or its Affiliates and whose reinstatement rights with Seller or Affiliates have not expired as of the Closing, in either case, were dedicated to the Business or (iii) as of their last date actively at work in the case of individuals who were union represented employees and who have been laid off and have a right to recall by Seller or its Affiliates that has not expired as of the Closing, were dedicated to the Business. For the avoidance of doubt, (A) any individual set forth on Section 9.06(b)(iv) of the Seller Disclosure Letter shall not be an “Employee of the Business” (each such individual, a “Retained Employee”), (B) no individual set forth on Section 9.06(b)(iii) of the Seller Disclosure Letter shall be a Retained Employee and (C) no individual that works in any state outside the Territory shall be an Employee of the Business without the prior written consent of Purchaser.
