Common use of Covered Person Clause in Contracts

Covered Person. For purposes of this Article VIII, “Covered Person” shall mean the Manager, a Member, any affiliate of the Manager or a Member, any officers, directors, shareholders, partners, members, employees, representatives or agents of the Manager or a Member, or their respective affiliates, or any employee or agent of the Company or its affiliates.

Covered Person. For purposes of this Article VIII, “Covered Person” shall mean means (a) the Manager, a Member, (b) any affiliate officer of the Manager Company, (c) any manager or a Member, any officers, directors, shareholders, partners, members, employees, representatives or agents officer of the Manager Member or a Member, or their the respective affiliates, or any employee or agent Affiliates of the Company or its affiliatesthe Member, or (d) any Person who was, at the time of the act or omission in question, a Person described in any of clauses (a), (b) or (c) hereof.
