Total Capital Expenditures definition

Total Capital Expenditures means, for any period, all expenditures of Holdings and its Consolidated Restricted Subsidiaries for such period in respect of fixed assets, determined in accordance with GAAP, but excluding (i) the Net Cash Proceeds from any Asset Sale or Casualty Event that are applied by Holdings and its Consolidated Restricted Subsidiaries to the acquisition or construction of fixed assets and (ii) Permitted Acquisitions.
Total Capital Expenditures shall have the meaning ascribed to it in Appendix A hereto.

Total Capital Expenditures means, with respect to any Person for any period, the amount of all expenditures by such Person and its Subsidiaries during such period that are capital expenditures as determined in accordance with GAAP, but excluding, without duplication (a) expenditures made during such period in connection with the replacement, substitution, or restoration of assets or properties pursuant to Section 2.4(e)(ii) of the Agreement, (b) with respect to the purchase price of assets that are purchased substantially contemporaneously with the trade-in of existing assets during such period, the amount of the trade-in allowance granted by the seller of such assets for the assets being traded in at such time, (c) expenditures made during such period to consummate one or more Permitted Acquisitions, and (d) expenditures during such period that, pursuant to a written agreement, are reimbursed by a third Person (excluding any Borrower or any of its Affiliates).

  • Consolidated Capital Expenditures means, for any period, the aggregate of all expenditures of Company and its Subsidiaries during such period determined on a consolidated basis that, in accordance with GAAP, are or should be included in “purchase of property and equipment or similar items”, or that should otherwise be capitalized, as reflected in the consolidated statement of cash flows of Company and its Subsidiaries.

  • Net Capital Expenditures means for any period the amount by which Capital Expenditures during such period exceeds reimbursements for such items during such period from any fund established pursuant to the Loan Documents.
