Structured Notes definition

Structured Notes means privately negotiated debt obligations where the principal and/or interest is determined by reference to the performance of a benchmark asset or market (an “embedded index”), such as selected securities or an index of securities, or the differential performance of two assets or markets, such as indices reflecting bonds.

Examples of Structured Notes in a sentence

  • Payments of interest in respect of Structured Notes will be calculated by reference either (i) to such index and/or formula(e) as are set out in the Additional Terms and Conditions of the Notes and/or (ii) to the applicable provisions of paragraphs (a) to (d) of this Condition 5, as specified in the applicable Final Terms.

  • Upon the occurrence of a Preference Share Early Termination Event, the relevant Issuer will redeem the Preference Share Linked Notes at the Early Redemption Amount (as defined in Condition 6(a) (Early Redemption as a result of a Preference Share Early Termination Event) of the Terms and Conditions of Structured Notes).

  • Upon maturity, the Notes will pay a redemption amount, determined in accordance with the Terms and Conditions of Structured Notes for Preference Share Linked Notes.

  • Upon the occurrence of a Preference Share Early Termination Event, the relevant Issuer will redeem the Preference Share Linked Notes at the Early Redemption Amount (as defined in Condition 19(a) (Early Redemption as a result of a Preference Share Early Termination Event) of the Structured Notes).


More Definitions of Structured Notes

Structured Notes means the Secured Portfolio Notes, Series 1998-1 issued in 1998 by Bankers Trust Corporation (formerly Bankers Trust New York Corporation) to certain Subsidiaries of the Borrower.
Structured Notes. The Xxxxx'x Discount Factor applied to Structured Notes will be (A) in the case of a corporate issuer, the Xxxxx'x Discount Factor determined in accordance with paragraph (ii) under this definition, whereby the rating on the issuer of the Structured Note will be the rating on the Structured Note for purposes of determining the Xxxxx'x Discount Factor in the table in paragraph (ii); and (B) in the case of an issuer that is the U.S. government or an agency or instrumentality thereof, the Xxxxx'x Discount Factor determined in accordance with paragraph (v) under this definition. The Xxxxx'x Discount Factor for any Xxxxx'x Eligible Asset other than the securities set forth above will be the percentage provided in writing by Xxxxx'x.
Structured Notes. The Notes may be “Structured Notes” (which include Index Linked Notes, Preference Share Linked Notes, Equity Linked Notes, and Hybrid Structured Notes) in which case the Final Tems will specify the basis for calculating interest amounts and/or redemption amounts payable, which may be by reference to shares, preference shares, indices relating to any of the foregoing, a formula or trading strategy involving any of the foregoing types of assets, or as otherwise provided in the applicable Final Terms.
Structured Notes means structured notes with rates of return determined by reference to the total rate of return on one or more Senior Loans referenced in such notes, which are issued by a collaterized loan special purpose entity or similar vehicle.
Structured Notes means an Equity-Linked Note (the “Equity-Linked Note”) and/or such other type of structured note as may be offered by OSPL from time to time and in each case if (and only if) OSPL in its absolute and sole discretion have decided to accept the same as “Structured Notes” and “OTC Securities” for the purposes of the STC including, if OSPL so decides at its sole and absolute discretion, any right, option or interest in or in respect of any of the foregoing as well as certificates of interest or participation in, or temporary or interim certificates for, receipts for, or warrants to subscribe to or purchase, any of the foregoing;
Structured Notes. The Moody's Discount Factor applied to Structured Notes will be (A) in the case of a corporate issuer, the Moody's Discount Factor determined in accordance with paragraph (ii) under this definition, whereby the rating on the issuer of the Structured Note will be the rating on the Structured Note for purposes of determining the Moody's Discount Factor in the table in paragraph (ii); and (B) in the case of an issuer that is the U.S. government or an agency or instrumentality thereof, the Moody's Discount Factor determined in accordance with paragraph (v) under this definition. The Moody's Discount Factor for any Moody's Eligible Asset other than the securities set forth above will be the percentage provided in writing by Moody's. Additionally, in order to merit consideration as a Moody's Eligible Asset, securities should be issued by entities which: (a) have not filed for bankruptcy within the past three years, (b) are current on all principal and interest in their fixed income obligations, (c) are current on all preferred stock dividends, and (d) possess a current, unqualified auditor's report without qualified, explanatory language.
Structured Notes. The Moody's Discount Factor applied to Structured Notes will be (A) in the case of a corporate issuer, the Moody's Discount Factor determined in accordance with paragraph (i) under this definition, whereby the rating on the issuer of the Structured Note will be the rating on the Structured Note for purposes of determining the Moody's Discount Factor in the table in paragraph (i); and (B) in the case of an issuer that is the U.S. government or an agency or instrumentality thereof, the Moody's Discount Factor determined in accordance with paragraph (iii) under this definition.
