PPA Documents definition

PPA Documents means the documents listed in this Section 1.2. Each of the PPA Documents is an essential part of the agreement between the Parties. The PPA Documents are intended to be complementary and to be read together as a complete agreement.
PPA Documents means the documents listed in Section 1.3.
PPA Documents means all Power Purchase Agreements and, if any such Power Purchase Agreement is not with an Acceptable PPA Counterparty, all Acceptable Credit Support relating thereto.

Examples of PPA Documents in a sentence

  • All Utility Adjustment Work performed by Developer shall comply with the PPA Documents.

  • Except for Type 1 Utility Adjustments, Developer shall coordinate, monitor and otherwise undertake the necessary efforts to cause Utility Owners performing Utility Adjustment Work to perform such work timely, in coordination with the Work, and in compliance with the standards of design and construction and other applicable requirements specified in the PPA Documents.

  • Developer shall perform any work on a Utility Owner Project only by separate contract outside of the Work, and such work shall be subject to Section 5.5.8. Under no circumstances shall Developer proceed with any Utility Enhancement that is incompatible with the Project or is not in compliance with applicable Law, the Governmental Approvals or the PPA Documents, including the Project Schedule Deadlines.

  • Plan‌ In the event of any irreconcilable conflict, ambiguity or inconsistency between the Project Management Plan and any of the PPA Documents, the latter shall take precedence and control and Developer shall promptly modify the Project Management Plan to cure the conflict, ambiguity or inconsistency, unless IFA, in its sole discretion, approves otherwise in writing.

  • Deficient materials and products shall be brought into compliance with the PPA Documents or replaced.

  • Quality records shall be maintained to demonstrate conformance to requirements of the PPA Documents and the effective operation of the quality system.

  • The DQAM shall certify the change, in writing, as meeting the requirements of the PPA Documents.

  • References in the PPA Documents to Department test methods or test designations of the American Association of State Highway and Transportation Officials (AASHTO), the American Society for Testing and Materials (ASTM), or any other recognized national organization shall mean the latest revision of that test method or specification for the Work in effect on the Setting Date.

  • Developer shall perform process control sampling, testing, and inspection during all phases of the Work at a rate sufficient to ensure that the Work conforms to the requirements of the PPA Documents.

  • The requirement of this Section 2.2.18 is applicable only where it is specified in the PPA Documents.

Related to PPA Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Term Documents means the Term Credit Agreement, the Term Guaranties, the Term Collateral Documents, any Term Hedging Agreements between any Term Loan Party and any Term Hedging Affiliate, those other ancillary agreements as to which the Term Agent or any Term Lender is a party or a beneficiary and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any Term Loan Party or any of its respective Subsidiaries or Affiliates, and delivered to the Term Agent, in connection with any of the foregoing or any Term Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Restructuring Documents means, collectively, the documents and agreements (and the exhibits, schedules, annexes and supplements thereto) necessary to implement, or entered into in connection with, this Plan, including, without limitation, the Plan Supplement, the Exhibits, the Plan Schedules, the Amended/New Organizational Documents, the Exit Facility Loan Documents, and the Plan Securities and Documents.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Guarantee Agreement, the Notes and the Trust Securities.

  • L/C Documents is defined in Section 3.4 hereof.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Senior Documents means, collectively, with respect to any Senior Obligation, any provision pertaining to such Senior Obligation in any Loan Document or any other document, instrument or certificate evidencing or delivered in connection with such Senior Obligation.

  • Other Transaction Documents means the Transaction Documents other than this Agreement.

  • Underlying Documents means, together, the Contracts, the Refund Guarantees, the Supervision Agreements and the Management Agreements and “Underlying Document” means any of them.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • Junior Documents means, collectively, with respect to any Junior Obligations, any provision pertaining to such Junior Obligation in any Loan Document or any other document, instrument or certificate evidencing or delivered in connection with such Junior Obligation.

  • Credit Documents mean the agreements, instruments, certificates or other documents at any time evidencing or otherwise relating to, governing or executed in connection with or as security for, a Loan, including without limitation notes, bonds, loan agreements, letter of credit applications, lease financing contracts, banker's acceptances, drafts, interest protection agreements, currency exchange agreements, repurchase agreements, reverse repurchase agreements, guarantees, deeds of trust, mortgages, assignments, security agreements, pledges, subordination or priority agreements, lien priority agreements, undertakings, security instruments, certificates, documents, legal opinions, participation agreements and intercreditor agreements, and all amendments, modifications, renewals, extensions, rearrangements, and substitutions with respect to any of the foregoing.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.
