Restructuring Documents definition

Restructuring Documents means, collectively, the documents and agreements (and the exhibits, schedules, annexes and supplements thereto) necessary to implement, or entered into in connection with, this Plan, including, without limitation, the Plan Supplement, the Exhibits, the Plan Schedules, the Amended/New Organizational Documents, the Exit Facility Loan Documents, and the Plan Securities and Documents.
Restructuring Documents means the Contracts entered into by and among, inter alios, equity holders of the PRC Domestic Company, the JV, the PRC Domestic Company and other Group Companies (as the case may be) that provide Control to the JV over the PRC Domestic Company (and any other similar Contracts entered or to be entered into by the Group Companies through which a Group Company (the “Controller”) Controls (financially, operationally or otherwise) another Group Company (the “Controlled Company”) and the financial results for such Controlled Company shall be consolidated into the consolidated financial statements for the Company even though the Controller does not have any equity interest in the Controlled Company and designated as “Restructuring Documents” by the Company and the Investor), including without limitation the Fengshun Lubao Restructuring Documents, the PRC Domestic Company Restructuring Documents and the Youxin Yishouche Restructuring Documents.
Restructuring Documents means all documents, agreements and instruments necessary to implement the Restructuring in accordance with this Agreement and the Term Sheet.

Examples of Restructuring Documents in a sentence

  • The Deed Company, the Administrators, the Deed Administrators, Holdco, and Opco shall take all steps reasonably necessary to implement the Restructuring as set out in the Restructuring Documents.

  • Group Creditors are only entitled to receive the DOCA Creditor Entitlements that are declared by the LTD Deed Administrators and provided for in this Deed, the LTD DOCA, the other Group DOCAs, and the Restructuring Documents, and the right of recourse in respect of each Group Creditor Claim is solely limited to such DOCA Creditor Entitlements.

  • For the avoidance of doubt, nothing in this Clause14.1 shall release, waive or discharge a Released Party from any obligation it may have under this Deed, a Group DOCA or the Restructuring Implementation Deed or any other Restructuring Documents with respect to any step or action required to be undertaken, or procured to be undertaken, by it on or following the Restructuring Effective Date in accordance with the terms of such documents.

  • The Restructuring is proposed to be achieved by way of this Deed in conjunction with the other Group DOCAs and the Restructuring Documents.

  • LTD shall execute, for and on behalf of itself and the Deed Company Creditors pursuant to the power of attorney set out in Clause 7.2 (Appointment of LTD as Attorney) if applicable, the Restructuring Documents to which it is a party, at the time specified in the Restructuring Implementation Deed.

Restructuring Documents has the meaning set out in the Restructuring Implementation Deed;
Restructuring Documents means the Restructuring Agreement and the Loan Agreement.
Restructuring Documents means a series of documents, according to which the Company is able to establish effective Control over, and consolidate the financial results of, the Domestic Enterprises through the PRC Subsidiary 1, as amended.
Restructuring Documents means the Plan, the Disclosure Statement, the Plan Supplement, and the various agreements and other documents formalizing or implementing the Plan and the transactions contemplated thereunder.
