Examples of Permitted Refinancing Debt in a sentence
The principal amount of any Permitted Refinancing Debt Incurred in the same currency as the Debt being Refinanced will be the Dollar Equivalent of the Debt Refinanced determined on the date such Debt being Refinanced was initially Incurred.
Permitted Refinancing Debt Incurred in respect of Debt Incurred pursuant to Section 4.09(a)(1) and Sections 4.09(b)(1), (3), (5) and (10) above and this Section 4.09(b)(13).
For the purposes of this definition, on a "Pro Forma Basis" means a recalculation at each utilisation or issue date under the relevant Permitted Refinancing Debt on a 12 month forward looking basis as at the most recent Semester Date taking into account the incurrence of the proposed utilisation or issue on a pro forma basis (such that it is assumed that the principal amount of such Financial Indebtedness was incurred on the most recent Semester Date).
There is no other Indebtedness (other than the Obligations) which has been designated as “Designated Senior Debt” (or any other defined term having a similar purpose) for the purposes of the documentation governing any Subordinated Indebtedness or for purposes of any Permitted Refinancing Debt Document.
The Obligations constitute “Senior Debt” and “Designated Senior Debt” (or any other defined term having a similar purpose) of the Borrower under the documentation governing any Subordinated Indebtedness and any Permitted Refinancing Debt Document.
