Fees and Expenses means the fees and expenses, including Anticipated Fees, incurred by SongVest for its time and effort to place the Proceed Rights into the Offering and market the Units and Proceed Rights to the general public. Fees and Expenses include, without limitation, legal and other regulator costs related to completing the Offering memorandum and closing. Anticipated Fees are outlined in Schedule B, though actual Fees and Expenses may differ.

Fees and Expenses means the fees you will charge us for the time you spend and the costs you incur in providing the Services to us. The Fees and Expenses you are entitled to charge are shown in section 3 of Part A.

Any Class Member who has not filed a timely written request for exclusion and who wishes to object to the fairness, reasonableness, or adequacy of this Agreement or the proposed Settlement, the award of Attorneys’ Fees and Expenses, or the Service Awards to Plaintiffs must deliver or mail to Class Counsel and to iFIT’s Counsel and file with the Court by the Objection Deadline a written statement of their objections.
The Settlement Fund, consisting of five hundred forty thousand dollars and no cents ($540,000.00), shall be used to pay all costs of the settlement, including all Awards and payments to Settlement Class Members including the cost of identity-theft protection services, costs of notice and Claims Administration, the Attorneys’ Fees and Expenses Award to Class Counsel, and the Representative Plaintiffs’ Service Awards.

Fees and Expenses means in respect of a Series of Notes, the total fees, expenses and other liabilities (other than the liabilities represented by the Notes) payable, and/or accrued and/or estimated to be payable by the Issuer in respect of such Series.
