Examples of Competitive Activity in a sentence
During the Employee’s employment with the Company and for a period of twelve (12) months after the Employee’s termination of employment with the Company, regardless of the reason for such termination, the Employee agrees that the Employee shall not, directly or indirectly, provide services to or be associated with a Competitor in any role or position, including as an employee, director, owner, consultant or otherwise, that would involve Competitive Activity within the United States.
For two years after the Termination Date, the Executive shall not directly or indirectly (i) engage in any Competitive Activity, (ii) solicit orders from or seek or propose to do business with any customer of the Company or its subsidiaries or affiliates (collectively, the “Companies”) relating to any Competitive Activity, or (iii) influence or attempt to influence any employee, representative or advisor of the Companies to terminate his or her employment or relationship with the Companies.
Competitive Activity shall not include business-related activities that solely involve a product or service provided by a segment of the Company’s business that Employee had no involvement with or access to Confidential Information about in the course of Employee’s employment with the Company.
