As of the date hereof, the Company has issued and outstanding 7,666,667 Class B Ordinary Shares (of which up to 1,000,000 shares are subject to forfeiture as described in the Registration Statement) and no Preference Shares.
The Class A Ordinary Shares issuable upon conversion of the Class B Ordinary Shares have been duly authorized and reserved for issuance upon such conversion.
All of the issued Class B Ordinary Shares of the Company have been duly authorized, validly issued, and are fully paid and non-assessable.
