Business Materials definition

Business Materials means and include all stationery, letterheads, envelopes, business cards, invoices, advertising and promotional materials, and all other business and commercial materials used by Licensee which bear the Trademarks.
Business Materials means signs, business cards, invoices, letterhead, agreements and other commercial documents; ​
Business Materials means all (i) lists of customers, vendors, suppliers, contractors, and service providers; (ii) business and financial files, information, documents, books and records (including billing, payment and dispute histories, credit information, preference settings and similar data) of customers, vendors, suppliers, contractors or service providers; (iii) other business and financial records, information, files, books and documents; (iv) Software, source code, documentation and similar items; and (v) advertising, marketing, sales and promotional materials in any media (including online, mobile and social media), each of the items in (i)-(iv), whether in hard copy or computer or any other format. For clarity, “Business Materials” means solely the physical or tangible assets or media embodying any of the foregoing items and not any of the Intellectual Property covering or incorporated in same.

Examples of Business Materials in a sentence

  • Employee further agrees that, immediately upon the Company’s request and in any event upon completion of the services hereunder or termination or expiration of this Agreement, Employee shall deliver to the Company all Business Materials and other physical property of the Company or any reproduction of such property, except only Employee’s copy of this Agreement.

  • Employee agrees that during the term of this Agreement, Employee will not remove any Business Materials from the premises at which they are located or deliver any Business Materials to any person or entity other than the Company, except as required to do in connection with performance of services under this Agreement.

  • All Business Materials shall be the sole property of the Company.


More Definitions of Business Materials

Business Materials means solely the physical or tangible assets or media embodying any of the foregoing items and not any of the Intellectual Property covering or incorporated in same.

Business Materials that are used in connection with the Devices & Services Business (but not primarily or exclusively used in connection with same, the delivery of which such items shall occur on the Closing Date). Any such items that are not delivered to Buyer on the Closing Date shall be delivered to Buyer within a reasonable time thereafter on mutually-agreed terms and conditions.
