Licensed Materials definition

Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

Licensed Materials means the Application and the Documentation.

Licensed Materials means the Software, Documentation and any other items, materials or deliverables that Licensor provides, or is obligated to provide, under this Agreement.

Examples of Licensed Materials in a sentence

• Upon request of Licensee, Licensee may receive from Licensor and/or create one (I) copy of the entire set of Licensed Materials to be maintained as a backup or archival copy during the term of this Agreement, or as required to exercise Licensee's rights under the 'Perpetual License' section of this Amendment.

• The means by which Licensee shall have access to such Licensed Materials shall be in a manner and form substantially equivalent to the means by which access is provided under this Amendment.

• Perpetual Licens� Licensor hereby grants to Licensee a nonexclusive, royalty-free, perpetual license to use the Licensed Materials listed in this Amendment.

• The Licensor shall indemnify and hold Licensee and Authorized Users harmless for any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney's fees, which arise from any claim by any third party of an alleged infringement of copyright or any other property right arising out of the use of the Licensed Materials by the Licensee or any Authorized User.

• InnovMetric warrants that the Licensed Software conforms with Licensed Materials for a period of twelve (12) months from the date of this Agreement, unless such term is otherwise renewed or extended.

Licensed Materials means the Licensed Software and the User Documentation.

Licensed Materials means the materials and Information intended to assist the user of the Software in the use or maintenance of the Software and constitutes Documentation;
